Share Pledge Agreements definition
Share Pledge Agreements means (a) each share pledge agreement, dated as of the Issue Date, between the applicable pledgor and the Collateral Agent or the International Security Agent (if applicable, each also acting in the name of the Holders and other Secured Parties) in respect of the applicable Shares, and (b) each other share pledge agreement executed and delivered in connection with the terms of this Indenture or any other Security Document.
Share Pledge Agreements means one or more agreements pursuant to which each Guarantor pledges its equity interests in any Seller Group Entity in favour of the Collateral Agent.
Share Pledge Agreements means each of the Subsidiary Share Pledge Agreement and the Issuer Share Pledge Agreement.
Examples of Share Pledge Agreements in a sentence
For the avoidance of doubt, notification and consent requirements as set out in sub-Clause 9.1 to 9.10 of this Agreement are deemed to be satisfied by the Pledgor if and to the extent such notification or consent has been delivered under the Existing Share Pledge Agreements provided that such notification to the Pledgee or consent of the Pledgee makes reference to this Agreement and the Existing Share Pledge Agreements.
Furthermore, the Assignee, for the purposes of German law, hereby expressly consents to the declarations of the Administrative Agent in its capacity as collateral agent made on behalf of and in the name of the Assignee as “Future Pledgee” in the German Share Pledge Agreements (and the term “Future Pledgee” shall bear the same meaning given to this term in such German Share Pledge Agreements).
The Assignee also confirms that it is aware of the contents of the German Share Pledge Agreements.
These Share Pledge Agreements with the exclusion of its table of contents forms an integral part of this deed.
In the event that the Agent (on behalf of the Finance Parties and the Swap Bank) exercises its rights under the Share Pledge Agreements, any such Parent Loans shall be deleted or converted into equity in the Borrowers.
More Definitions of Share Pledge Agreements
Share Pledge Agreements means the share pledge agreements to be entered into by the relevant Group Company and the Agent (acting on its own behalf and in its capacity as agent and security agent representing the Noteholders) in relation to first a priority pledge over all shares in any Material Group Company (other than the Issuer and any Excluded Subsidiary).
Share Pledge Agreements means the share pledge agreements dated the date of the Closing Date and entered into between each Parent and the Security Trustee, whereby each Parent has granted a first fixed charge, in favour of the Security Trustee, over the shares of the relevant Borrower, as continuing security for the payment and discharge of the Secured Obligations.

Share Pledge Agreements means (i) the Share Pledge Agreement dated February 20, 2017, entered into by and among the WFOE 1, the Domestic Company and the Principal, (ii) the Share Pledge Agreement dated February 20, 2017, entered into by and among the WFOE 1, the Domestic Company and Lhasa Heye Investment Management Co., Ltd., (iii) the Share Pledge Agreement dated February 20, 2017, entered into by and among the WFOE 1, the Domestic Company and Mr. ▇▇▇ ▇▇▇▇, (iv) the Share Pledge Agreement dated February 20, 2017, entered into by and among the WFOE 1, the Domestic Company and Shanghai Jinglinxiyu Investment Center L.P., and (v) the Share Pledge Agreement dated February 20, 2017, entered into by and among the WFOE 1, the Domestic Company and Jiangsu Jingdong Bangneng Investment Management Co., Ltd., each as amended from time to time.
