Customer Affiliate(s) definition

Customer Affiliate(s) shall have the meaning set forth in the Master Agreement.

Customer Affiliate(s) means entities controlled by or under common control with Customer.

Customer Affiliate(s) means companies that control, are controlled by, or are under common control with, the Customer. For purposes of this definition “control” is defined as the direct or indirect ownership of more than 50% of the voting securities of an affiliate.

• The Customer will ensure (and shall cause its Customer Affiliates, Users and Contractors to ensure) that neither the IFS Materials, Software nor any direct product thereof are (i) exported, directly or indirectly, in violation of such laws and regulations; or (ii) are intended to be used for any purposes prohibited by such laws and regulations, including, but not limited to, nuclear, chemical, or biological weapons proliferation.

• Any notice must be given duly signed by registered mail, courier, fax or by e-mail to the address of the relevant Party as stated in the Contract and/or to such other address as such Party may have notified in writing (including Customer Affiliates operating at relevant Delivery Loca- tions).

• For the avoidance of doubt, Customer Affiliates shall have no rights to enforce any term of this Agreement.

• Any notice must be given duly signed by registered mail, courier, fax or by e-mail to the address of the relevant Party as stated in the Contract and/or to such other address as such Party may have notified in writing (including Customer Affiliates operating at relevant Delivery Locations).

• In addition to the rights granted in section 2.1 above, the Customer, Affiliates and distributors are authorized to allow end customers to transfer the respective licenses.

Customer Affiliate(s). For the purposes of Section 15.1(a) “control” and its derivatives mean to hold, directly or indirectly, more than 50% of the respective shares with voting rights in a company

Customer Affiliate(s) as used herein means any company or entity in which Customer owns (directly or indirectly) at least five percent (5%) of the voting stock.

Customer Affiliate(s) means any partnership, joint venture, subsidiary, and other affiliated entities (whether incorporated or unincorporated) in which Customer has an ownership, managerial, or operational interest or which now or hereafter directly or indirectly controls, is controlled by, or is under common control with, Customer, including multiple levels of controlled corporations. Control shall be defined as (i) ownership of 20% or more of the voting power of all classes of voting stock of an entity; (ii) ownership of 20% or more of the beneficial interests in income and capital of an entity other than a corporation; or (iii) management control over an entity.

Customer Affiliate(s) means any companies which are controlled by Customer, which control Customer, or which are under common control with Customer and either: (i) are Data Controllers of any Customer Personal Data; and/or (ii) onwhose behalf The KeyoPass Group, a KeyoPass Affiliate and/or any Subprocessor otherwise processes any Customer Personal Data. For these purposes, “control” and its derivatives mean to hold, directly or indirectly, more than 50% of the respective shares with voting rights.

Customer Affiliate(s) means each of the entities within Customer’s integrated health care organization and each of their respective subsidiaries and affiliates from whom Nevro accepts a Purchase Order for Products in connection with this Agreement. Customer represents and warrants that (a) Exhibit C contains a list of all Customer Affiliates that Customer has authorized to make purchases under this Agreement; and (b) Customer has the authority to contract on behalf of each of the listed Customer Affiliates, and will inform Customer Affiliates of their rights and obligations under this Agreement. Customer may only add Customer Affiliates to Exhibit C with the prior written consent of Xxxxx. Customer shall be responsible for any act or omission by a Customer Affiliate that, if performed or not performed by Customer, would be a breach of this Agreement (including failure to pay as required hereunder). “Customer Entity” refers to whichever of Customer or its Customer Affiliate is the entity actually making a purchase under a given Purchase Order.

Customer Affiliate(s) means those wholly-owned subsidiaries of Customer who are organized directly under Customer’s regulatory charter and whose income is directly attributed to Customer for federal reporting purposes. Additional wholly-owned subsidiaries of Customer who do not meet these criteria may be added to Exhibit B by mutual agreement between XXX and Customer and will thereafter be considered Affiliates for the purposes of this Agreement.
