Affiliated Entities definition

Affiliated Entities means any legal entity, including any corporation, limited liability company, partnership, not-for-profit corporation, estate planning vehicle or trust, which is directly or indirectly owned or controlled by the Stockholder or his or her descendants or spouse, of which such Stockholder or his or her descendants or spouse are beneficial owners, or which is under joint control or ownership with any other person or entity subject to a lock-up agreement regarding the Common Stock with terms substantially identical to this Agreement.
Affiliated Entities means all of the Company’s direct and indirect subsidiaries and affiliated companies. For purposes of this Agreement, a company is affiliated with the Company if it controls, is controlled by or is under common control with the Company.
Affiliated Entities has the meaning set forth in Section 1(a).

Examples of Affiliated Entities in a sentence

  • Access Rights may be refused to Affiliated Entities if such granting is contrary to the legitimate interests of the Party which owns the Background or the Results.

  • Affiliated Entities have Access Rights under the conditions of the Grant Agreement Articles 25.4 and 31.4. Such Access Rights must be requested by the Affiliated Entity from the Party that holds the Background or Results.

  • Alternatively, the Party granting the Access Rights may individually agree with the Party requesting the Access Rights to have the Access Rights include the right to sublicense to the latter's Affiliated Entities [listed in Attachment 4].

Affiliated Entities means, with respect to any Holder, means (i) any Affiliate of such Holder, and (ii) any fund that is administered or managed by such Holder, any Affiliate of such Holder or any entity or an Affiliate of an entity that administers or manages such Holder.
Affiliated Entities means unconsolidated Subsidiaries of the Borrower and Persons not otherwise constituting Subsidiaries of the Borrower in which the Borrower has an equity investment.
