Seller Affiliate definition

Seller Affiliate means any Affiliate of Seller.

Seller Affiliate. Shall have the meaning set forth in Section 6(b)(ii)(A) (Establishment of Monetary Escrow) of Attachment B (Facility Owned by Seller) to this Agreement.

Seller Affiliate means any Person under common control with the Seller within the meaning of Sections 414(b), (c), (m) and (o) of the Code, and the regulations issued thereunder.

• Goods or Services sourced by Seller from a third party (not being a Seller Affiliate) for resale to Buyer shall carry only the warranty extended by the original manufacturer.

• Buyer shall be entitled at any time to set-off any and all amounts owed by Seller or a Seller Affiliate to Buyer or a Buyer Affiliate, on this or any other order or agreement.

• For purposes of this Article V the phrase "payments by or on behalf of Obligors" shall mean payments made with respect to the Receivables by Persons other than Servicer, Seller or any Seller Affiliate.

• Neither Seller nor any Seller Affiliate has entered into any agreement with any Obligor that prohibits, restricts or conditions the assignment of any portion of the Receivables.

• There is only one original executed Receivable, and immediately prior to the Closing Date, the applicable Seller Affiliate will have possession of such original executed Receivable.

More Definitions of Seller Affiliate

Seller Affiliate means any Person, directly or indirectly, controlling, controlled by or under common control with the Seller.

Seller Affiliate has the meaning specified therefor in Section 2.05(b).

Seller Affiliate means any Member or any member of the immediate family (including spouse, brother, sister, descendant, ancestor or in-law) of any officer, director or member of Seller or any corporation, partnership, trust or other entity in which Seller, any Member, or any such family member has a five percent (5%) or greater interest or is a director, officer, partner or trustee. The term Seller Affiliate shall also include any Person which controls, or is controlled by, or is under common control with any of the Persons described in the preceding sentence.

Seller Affiliate means any Person owning or controlling Seller, or under common ownership or control with or by Seller. For purposes hereof, “ownership or control” shall mean either (i) the legal or beneficial ownership of fifty percent (50%) or more of the beneficial interests in a Person, or (ii) the sole ability to direct the day-to-day affairs of such Person.

Seller Affiliate means Seller, the Manager and any Affiliate of Seller. Without limiting the foregoing, Seller Affiliate shall not include any physician or Affiliate of a physician that is or has been a direct or indirect member of Seller.

Seller Affiliate means any Affiliate of the Seller functioning or otherwise operating in the Mxxxxxx Lxxxx Global Private Client Network in connection with the sale or manufacturing of life insurance and annuity products for distribution within the Mxxxxxx Lxxxx Global Private Client Network.

Seller Affiliate means (a) Amersham plc and any successor to Amersham plc, (b) any company or entity (including, without limitation, AB and Seller) that, on or after the Effective Date, directly or indirectly through one or more intermediaries is Controlled by Amersham plc or by a successor to Amersham plc, and any successor to any such company or entity, and (c) in the event of an assignment by AB to an assignee in accordance with Section 19.9, such assignee and Affiliates of such assignee; provided that no Qualified Company (as hereinafter defined), Non-Qualified Company (as hereinafter defined), or owner of Amersham plc or of a successor to Amersham plc shall be considered a Seller Affiliate.
