CM Group. CM Group means each group of CMs or FIMs or deliverables as listed in Schedule A. A CM Group may not be smaller than an auditable unit or greater than a facility. CM Expressway is directly held as to 67.82% by CM Group and CM Fund is indirectly held as to part of its shareholding (for further details, please refer to the section headed “Information on the parties – CM Fund” in this announcement).
Upon release of care custody and control of a CM Group to Agency, Agency shall have all legal title to and ownership of all underlying equipment and Company shall take all actions necessary to vest such title and ownership in Agency.
This Contract and the Unconditional Corporate Guaranty shall immediately terminate with respect to each CM Group for which a Non-Appropriation has occurred.

However, it is anticipated and agreed that Agency may require use of some installed and completed CMs prior to the completion of all CMs. In such situations, the Parties will conduct acceptance inspections and Certificates of Acceptance of CM as described above, for that CM Group to be installed which is being operated and Agency is receiving beneficial use.
CMHI (Jiangsu) is a company incorporated in the PRC with limited liability, and a wholly-owned subsidiary of CM Industry, whereas CM Industry is ultimately wholly-owned by CM Group.

No notice has been received by any C/M Party of any complaints or other proceedings of any kind involving either Acquired Subsidiary or any of the employees of any of either Acquired Subsidiary (or any other member of the C/M Group) before any Governmental Entity relating to any CMH Employee Plan.
