Xxxx Group definition

Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

Xxxx Group means (i) Xxxxxx X. Xxxx (“Xxxx”); (ii) Xxxx’x wife; (iii) any of Xxxx’x lineal descendants; (iv) Xxxx’x guardian or other legal representative or Xxxx’x estate; (v) any trust of which at least one of the trustees is Xxxx, or the principal beneficiaries of which are any one or more of the Persons in clauses (i) through (iv) above; (vi) any Person which is controlled by any one or more of the Persons in clauses (i) through (v) above; and (vii) any group (within the meaning of the Exchange Act and the rules of the Commission thereunder as in effect on the Issue Date) that includes one or more of the Persons described in clauses (i) through (vi) above, provided that such Persons described in clauses (i) through (vi) above control more than 50% of the voting power of such group.

Xxxx Group means Xxxx X. Xxxx, Xxxxx X. Xxxx, the members of their respective Immediate Families, and any Entity which is an Affiliate of either Xxxx X. Xxxx or Xxxxx X. Xxxx, excluding the Partnership and the Company.

More Definitions of Xxxx Group

Xxxx Group means (i) Xxxxxx Xxxx, (ii) his spouse and members of his immediate family (including siblings, children, grandchildren and children and grandchildren by adoption), and (iii) in the event of incompetence or death of any of the persons described in clauses (i) and (ii) hereof, such person’s transferee by will, estate, executor, administrator, committee or other personal representative.

Xxxx Group means (a) Xxx X. Xxxx and Xxxxxx X. Xxxx; (b) any lineal descendent of the foregoing (including by adoption); (c) any spouse of the foregoing; (d) any trust established primarily for the benefit of any one or more of the foregoing; and (e) any Entity controlled, individually or collectively, by any of the foregoing Persons identified in the preceding clauses (a) and (d) (including Xxxx and the Initial Limited Partner).

Xxxx Group means (a) Xxxx, (b) each Subsidiary of Xxxx immediately after the Separation Time, including the Transferred Entities, and (c) each other Person that is controlled directly or indirectly by Xxxx immediately after the Separation Time.

Xxxx Group means (i) Xxx X. Xxxx (“Xxxx”); (ii) Xxxx’x wife; (iii) any of Xxxx’x lineal descendants; (iv) Xxxx’x estate; (v) any trust of which at least one of the trustees is Xxxx, or the principal beneficiaries of which are any one or more of the Persons in (i)-(iv); (vi) any Person which is controlled by any one or more of the Persons in (i)-(v); and (vii) any group (within the meaning of the Exchange Act and the rules of the SEC thereunder as in effect on the Issue Date) that includes one or more of Persons described in clauses (i) through (vi) above, provided that such Persons described in clauses (i) through (vi) above control more than 50% of the voting power of such group.

Xxxx Group shall have the meaning set forth in the Separation Agreement.

Xxxx Group means the Borrowers identified as members of the Xxxx Group on the signature page to this Agreement and the Joinder Agreement, including all supplements thereto.

Xxxx Group has the meaning ascribed thereto in the preamble hereto.
