Purchaser’s Group definition

Purchaser’s Group means the Purchaser and its Affiliates from time to time;

Purchaser’s Group means the Purchaser, a subsidiary undertaking or holding company for the time being of the Purchaser, or a subsidiary or subsidiary undertaking for the time being of a holding company of the Purchaser.

Purchaser’s Group means the Purchaser, its subsidiaries and subsidiary undertakings, any holding company of the Purchaser and all other subsidiaries of any such holding company from time to time;

Examples of Purchaser’s Group in a sentence

• To the extent that the Purchaser or a member of the Purchaser’s Group does bring a claim in breach of this Clause, the Purchaser shall indemnify the Seller and each member of the Seller’s Group against all Liabilities which the Seller or any member of the Seller’s Group may suffer through or arising from the bringing of such a claim.

• Each new Purchaser (or Group) shall become a party hereto, by executing and delivering to the Administrative Agent and the Seller, an assumption agreement (each, an “Assumption Agreement”) in the form of Exhibit D hereto (which Assumption Agreement shall, in the case of any new Purchaser, be executed by each Person in such new Purchaser’s Group).

• No announcement, communication or circular concerning the existence or the subject matter of this Agreement shall be made or issued by or on behalf of any member of the Seller’s Group or the Purchaser’s Group without the prior written approval of the Seller and the Purchaser (such consent not to be unreasonably withheld or delayed).

• To the extent that the Seller or a member of the Seller’s Group does bring a claim in breach of this Clause, the Seller shall indemnify the Purchaser and each member of the Purchaser’s Group against all Liabilities which the Purchaser or that member of the Purchaser’s Group may suffer through or arising from the bringing of such a claim.

• In the event any Committed Purchaser declines such request to extend the Scheduled Termination Date or is deemed to have declined such extension, such Committed Purchaser’s Group shall be an “Exiting Group” for all purposes of this Agreement.

More Definitions of Purchaser’s Group

Purchaser’s Group means the Purchaser, its Subsidiary Undertakings, any Parent Undertaking of the Purchaser and all other Subsidiary Undertakings of any such Parent Undertaking as the case may be from time to time (and including, after Completion, the Group);

Purchaser’s Group means the Purchaser and all other members of the same group of companies as the Purchaser (including, with effect from Completion, each Group Company);

Purchaser’s Group means the Purchaser and each of its Affiliates and, following Completion, the Company and the Subsidiaries;

Purchaser’s Group the group of companies comprising the Purchaser, any holding company from time to time of the Purchaser and any subsidiary of the Purchaser;

Purchaser’s Group means the Purchaser and any of its Affiliates;

Purchaser’s Group means the Purchasers, their subsidiaries and subsidiary undertakings, any holding company of the Purchasers and all other subsidiaries of any such holding company from time to time (including, after Completion, to the extent applicable, the Target Group from time to time) (and “member of the Purchasers’ Group” shall mean any one of the above);

Purchaser’s Group means any of the following from time to time: the Purchaser, its subsidiaries and subsidiary undertakings and any holding company or parent undertaking of the Purchaser and all other subsidiaries and subsidiary undertakings of any holding company or parent undertaking of the Purchaser, and “member of the Purchaser’s Group” shall be construed accordingly (and which, for the avoidance of doubt, shall include the Company following Completion);
