Affiliate Guarantees definition

Affiliate Guarantees means the collective reference to each guarantee agreement executed and delivered by an Affiliate Guarantor, substantially in the form of Exhibit F, as the same may be amended, supplemented or otherwise modified from time to time.

Affiliate Guarantees means the guarantees given by the Seller or its Affiliates (other than the Company and its Subsidiaries) in respect of the Business which have been notified to the Purchaser by the Seller in writing at least 30 days prior to Closing.

Affiliate Guarantees means any Contract or other obligation whereby the Partnership or any of its Subsidiaries provides a guarantee or indemnity with respect to any obligations of Summit, Fly or any of their respective Affiliates (other than the Partnership and its Subsidiaries).

Examples of Affiliate Guarantees in a sentence

• In connection with the VPSB Petitions, any Entergy Affiliate Guarantees in effect at the Closing, including the parent guarantee for the Site Restoration Trust, shall be released, novated, terminated, returned or discharged, so that Purchaser or some other acceptable party is substituted in place of Seller and its Affiliates.

• Purchaser acknowledges that the Entergy Affiliate Guarantees may be amended or otherwise modified by Seller during the Interim Period and that additional Entergy Affiliate Guarantees may be provided by Affiliates of ENVY in connection with the ownership or operation of ENVY or the Facilities and that Seller may supplement Section 6.11(c) of the Seller Disclosure Schedule from time to time prior to the Closing to reflect the same.

• The project applicant may also be required to cover the full costs of independent technical and other types of peer review, monitoring and inspection, including without limitation, third party plan check fees, including inspections of violations of Conditions of Approval.

• The nature and scope of structures is a function of both the content and the level of decision-making.

Affiliate Guarantees has the meaning ascribed to it in Section 1.05.

Affiliate Guarantees has the meaning specified in Section 1501. “Affiliate Guarantor” means Kaneb Pipe Line Operating Partnership, L.P., a Delaware limited partnership, until a successor Affiliate Guarantor shall have become such pursuant to the applicable provisions of this Indenture, and thereafter “Affiliate Guarantor” shall mean or include each Person who is then an Affiliate Guarantor hereunder.

Affiliate Guarantees shall have the meaning set forth in Section 5.4(a).

Affiliate Guarantees means: (i) the Initial Affiliate Guarantees; and (ii) any guarantees required to be delivered by certain Supplier Group Entities pursuant to Section 7.13 and any other guarantees subsequently required to be delivered by certain other persons pursuant to this Agreement, which guarantees shall be in favour of Wheaton, shall be substantially in the form of the Initial Affiliate Guarantees and otherwise in form and substance satisfactory to Wheaton, acting reasonably, and shall guarantee the payment and (where the Supplier Group Entity or other person delivering such guarantee is the Project Owner or directly or indirectly controls the Project Owner) the performance, when due, of all of the PMPA Obligations.
