Permitted Guarantees definition

Permitted Guarantees means any guarantee:
Permitted Guarantees means each and every guarantee permitted in accordance with Paragraph 16 (Guarantees) of Schedule H (General Undertakings).
Permitted Guarantees means each guarantee provided by a Group Company in relation to obligations incurred by another Group Company (other than Tallinna Moekombinaat), provided that such obligations constitutes Permitted Debt or are otherwise not prohibited by these Terms and Conditions and that the aggregate amount of all obligations secured by such guarantees does not at any time exceed EUR 20,000,000.

Examples of Permitted Guarantees in a sentence

  • If a Restricted Subsidiary has become a Guarantor at its option, it may thereafter be released and relieved of its obligations under its Subsidiary Guarantee at its option; provided that such Guarantor has no other guarantee of Indebtedness of the Company or any Guarantor (other than Permitted Guarantees) then outstanding.

  • If a Restricted Subsidiary has become a Guarantor at its option, it may thereafter be released and relieved of its obligations under its Note Guarantee at its option; provided that such Guarantor has no other guarantee of Financial Indebtedness of the Company or any Guarantor (other than Permitted Guarantees) then outstanding.

  • Enter into any indemnification, guarantee or other credit support agreement in respect of any tax equity financing, or incur any obligations or make any payments thereunder or in connection therewith, other than pursuant to Permitted Guarantees (it being understood that Holdings may enter into Holdings Tax Equity Credit Support and make Holdings Tax Equity Payments pursuant to clause (i) of Section 7.17).

  • Not, and not permit any Subsidiary to, enter into, or cause, suffer or permit to exist, directly or indirectly, any arrangement, transaction or contract with any of its Affiliates other than Permitted Guarantees unless such arrangement, transaction or contract is on an arm’s length basis.

  • Other than any liability incident to such claims, litigation or proceedings, the Borrower and its Subsidiaries have no material Contingent Liabilities other than Permitted Guarantees.


More Definitions of Permitted Guarantees

Permitted Guarantees means (a) the Guarantees by the Obligors of the Obligations, (b) Guarantees by any Obligor or any of its Subsidiaries in respect of Debt otherwise permitted hereunder of any Obligor or any of its wholly owned Subsidiaries, and (c) Guarantees by any Obligor or any of its Subsidiaries of leases or other ordinary course obligations that do not constitute Debt of an Obligor or Subsidiary in the ordinary course of business.
Permitted Guarantees means Permitted Operating Guarantees and Other Permitted Guarantees.
Permitted Guarantees means any guarantees issued by a Group Company in relation to Financial Indebtedness incurred in relation to a Project in the ordinary course of business (also including for the avoidance of doubt Projects managed outside of the Group), including but not limited to down-payment guarantees (Sw. insatsgarantier), rental guarantees (Sw. hyresgarantier) and locking obligations (Sw. spärrförbindelser), or any other guarantees due to applicable changes in rules and regulations from time to time.
Permitted Guarantees means any guarantees issued by a Group Company in relation to Financial Indebtedness incurred in relation to a Project in the ordinary course of business, including but not limited to down-payment guarantees (Sw. insatsgarantier), rental guarantees (Sw. hyresgarantier) and locking obligations (Sw. spärrförbindelser), or any other guarantees due to applicable changes in rules and regulations from time to time. In relation to a Minority Company, such guarantees may only be issued provided that (i) the other owners in the relevant Minority Company provide guarantees pro rata to their ownership shares, and (ii) the Group’s share of such guarantee does not exceed the Group’s ownership share in such Minority Company.
Permitted Guarantees means guarantees issued in the ordinary course of business by any member of the Group:
Permitted Guarantees means each and every guarantee permitted in accordance with Paragraph 17 of Schedule H.
Permitted Guarantees means (a) warranties made in the Ordinary Course of Business, (b) any guaranty by a Borrower of any liabilities of any other Borrower or a Subsidiary of a Borrower to any lessor or licensor, (c) indemnities in agreements evidencing Indebtedness permitted hereunder, (d) any indemnities by any Borrower of any liability of its directors, officers and employees in their capacities as such as permitted by Applicable Law, (e) any guaranty of any Indebtedness permitted under this Agreement, and (f) indemnities in respect of statutory obligations, bonding agreements, brokerage and deposit agreements, engagement letters, commitment letters, and agreements for, acquisitions, divestures and other like agreements.
