Subsidiary Guaranties definition

Subsidiary Guaranties means the Domestic Subsidiary Guaranty and each Foreign Subsidiary Guaranty.
Subsidiary Guaranties has the meaning specified in Section 3.01(a)(iii).
Subsidiary Guaranties shall have the meanings assigned thereto in the Recitals hereof.

Subject to the preceding sentence, this Agreement, the Notes and any Subsidiary Guaranties embody the entire agreement and understanding between each Purchaser and the Company and supersede all prior agreements and understandings relating to the subject matter hereof.

This paragraph is intended only to define the relative rights of Subsidiary Guarantors as among themselves, and nothing set forth in this paragraph is intended to or shall impair the joint and several obligations of the Subsidiary Guarantors under their respective Subsidiary Guaranties.

The Subsidiary Guaranties are subordinated in right of payment to each Subsidiary Guarantor's obligations with respect to Designated Senior Debt.

All the Subsidiary Guaranties so issued shall in all respects have the same legal rank and benefit under this Indenture as the Subsidiary Guaranties theretofore and thereafter issued in accordance with the terms of this Indenture as though all of such Subsidiary Guaranties had been issued at the date of the execution hereof.


More Definitions of Subsidiary Guaranties

Subsidiary Guaranties means, collectively, the Foreign Subsidiary Guaranties and the US Subsidiary Guaranties.
Subsidiary Guaranties means the guaranties of the Lender Indebtedness, executed and delivered pursuant to Section 4.01(c) and/or Section 6.01(f), substantially in the form of Exhibit B, given by each of the Material Subsidiaries, as amended, supplemented, restated or otherwise modified from time to time.
Subsidiary Guaranties means, collectively or individually, depending on the context, the guaranties provided by the Subsidiary Guarantors pursuant to Section 7.9, if any, substantially in the form of Exhibit H attached hereto.
Subsidiary Guaranties means more than one Subsidiary Guaranty.
Subsidiary Guaranties means, collectively, the guaranties executed and delivered to the Agent by any Subsidiary of the Company pursuant to the requirements of Section 4.01(f) of this Agreement, as the same may be amended, modified, extended, renewed, supplemented, replaced and/or restated from time to time and at any time, and the term "Subsidiary Guaranty" means any of the Subsidiary Guaranties.
Subsidiary Guaranties means, collectively, (a) the Subsidiary Guaranty Agreement (the “U.S. Subsidiary Guaranty”) dated as of the Closing Date made by certain Subsidiaries of the Company in favor of the Administrative Agent for the benefit of the Secured Parties specified therein and (b) means any other subsidiary guaranty agreement now or hereafter in effect executed by one or more Loan Parties that are Foreign Subsidiaries in favor of the Administrative Agent for the benefit of any of the Secured Parties, each of which shall be in form and substance satisfactory to the Administrative Agent, in each case as supplemented from time to time by the execution and delivery of Subsidiary Guaranty Joinder Agreements
