Xxxxxx & Duties. Xxxxx agrees that he shall, both throughout the term of his employment with OXBO and at any and all times following the termination thereof, execute and deliver all such further instruments and documents, and do and perform all such further acts and things, as may be necessary or helpful and/or as may be reasonably requested by OXBO in furtherance of the purposes and intent of this Agreement. By way of illustration and not by way of limitation of the foregoing, Xxxxx specifically agrees that he shall:
Xxxxxx & Duties. 2.1 In his capacity as BioMarin's president, Xxxxx shall perform all acts or services and do all things necessary or advisable to manage or conduct BioMarin's business, subject to the policies set by BioMarin's board of directors.
Xxxxxx & Duties. Xxxxxxxx, subject to the direction of Franklin Township Administrator; Mayor and Township Committee shall perform the duties of her Township appointments, as they are set forth in the Code of the Township of Franklin. Xxxxxxxx acknowledges that during the term of the Agreement, the provision of the code may be amended or supplemented by ordinance duly adopted by the Township Committee. In the event that the Code of the Township of Franklin is amended or supplemented during the term of the Agreement, Xxxxxxxx acknowledges that her duties within the Township shall be performed in accordance with the provisions as they are amended or supplemented.
Xxxxxx & Duties. Xxxxxx & Duties. (1)Lessor shall schedule, supervise, and bear the cost of, mowing grassed areas, snow removal from all public areas of the Airport, sewer service maintenance, and UST repairs and service. (2)Lessor shall administer all hangar rentals and land leases for private hangar construction at the Airport. (3) Lessor shall schedule, supervise, and bear the cost of maintaining all Lessor owned hangars, radios, ASOS, NDB, RTR, runway lights, the windsock, the rotating beacon, and all other Lessor owned buildings or airport premises and equipment not otherwise leased to or owned by private entities. (4) Lessor shall prepare and submit annual Airport TIP grant requests to the Aviation Division of the North Carolina Department of Transportation. (5)Lessor shall prepare and submit required UST and storm water reports concerning the Airport premises, and pay related fees, to the State of North Carolina. (6)Lessor shall reasonably maintain all public roads on the Airport which provide access to the Premises, in good and adequate condition, for use by cars and trucks; and shall provide access to the Premises over said roads at all times, except as Lessor may modify access in accordance herewith or as Lessor may deem it advisable to limit access in order to maintain the same. Lessor reserves the right to relocate any and all existing roads and drives on the Airport provided, however, reasonable access to the Premises by reasonably adequate roadways are always maintained to the Airport.
Xxxxxx & Duties. Xxxxx shall devote his full productive time, attention, energy, and skill to the business of the Corporation during the employment term set forth below, and shall not become engaged to render similar services on behalf of any other entity while employed hereunder, without the Corporation's consent, except that Xxxxx shall, for the months of June, July, August and September of 1996 ("Start-up Months") be allowed to conclude current duties in other businesses. Xxxxx shall report directly to the Chief Executive Officer of the Corporation, the Chief Executive Officer of DSPC, and the Board of Directors of CTP.
Xxxxxx & Duties. Xxxxx'x duties to the Contractor will include:
Xxxxxx & Duties. ROUSH will make available at no cost to Installation Center, all training of Technician(s) on Product and the Appointed Services, ROUSH Instructions, and other documentation as ROUSH deems necessary for Installation Center to perform the this Agreement and the Appointed Services.
Xxxxxx & Duties. During the term of this Agreement, Xx. Xxxxx shall serve as a consultant to the Company on oil and gas exploration and other matters as may be requested by the Company. Xx. Xxxxx will devote such portion of his business time to the activities of the Company as shall be reasonably requested by the Company, with the understanding that this will be his primary business focus. Xx. Xxxxx will not accept any other positions or perform any other services which would compete with the activities of the Company or which would materially interfere with the performance of his duties or responsibilities hereunder.
Xxxxxx & Duties. Xxxxx shall devote a substantial amount of his time (and in no event less than six (6) days per calendar month attending at NRC's facilities) in order for him to conduct, operate and manage NRC and he shall use his utmost skill and endeavour to promote the business of NRC in a diligent and professional manner solely for the benefit of NRC and its shareholders. Xxxxx shall not knowingly undertake any activities which would have the effect of : (a) Rendering any of the representations and/or warranties of NRC as contained in either the APM or the SAA untrue or inaccurate insofar as such representations and warranties were accurate and truthful as at the date hereof; or (b) Making any of the covenants or conditions of NRC in either of the APM or SAA unachievable (assuming such covenants or conditions would otherwise be achievable). Further, Xxxxx shall not have the authority to bind NRC to any amendments or modifications to the Definitive Agreements.
