Unauthorized Access; Lost or Corrupt Data. Except as caused by its negligence or willful misconduct, HEALTHeLINK shall not be responsible for unauthorized access to the Participant’s transmission facilities or equipment by individuals or entities using the HIE or for unauthorized access to, or alteration, theft, or destruction of the participant’s data files, programs, procedures, or information through the HIE, whether by accident, fraudulent means or devices, or any other method. Each Participant shall be solely responsible for validating the accuracy of all output, reports and information, and protecting the Participant’s data and programs from loss by implementing appropriate security measures, including routine backup procedures. HEALTHeLINK, its Vendors and Data Sources are not responsible for the content of any information transmitted or received through the HIE or provision of the Services, except to the extent that the content of such information is distorted or corrupted as a direct result of the negligent acts or omissions or willful misconduct of HEALTHeLINK.

The NDHIN is not responsible for unauthorized access to the Participant's transmission facilities or equipment by individuals or entities using the Hosted System or for unauthorized access to, or alteration, theft, or destruction of the Participant's data files, programs, procedures, or information through the Hosted System, whether by accident, fraudulent means or devices, or any other method, except to the extent that the access, alteration, theft or destruction was due to the negligent acts or omissions or willful misconduct of the NDHIN. As between a Participant and the NDHIN, the Participant is solely responsible for validating the accuracy of all output and reports and protecting the Participant's data and programs from loss by implementing appropriate security measures, including routine backup procedures. The Participant waives any claims against the NDHIN for damages occasioned by lost or corrupt data, incorrect reports, or incorrect data files resulting from programming error, operator error, equipment or software malfunction, security violations, or the use of third party software, except to the extent that those damages arise as a result of the negligent acts or omissions or willful misconduct of the NDHIN. The NDHIN is not responsible for the content of any information transmitted or received through the NDHIN's provision of the Hosted Applications, except to the extent that the content of the information is distorted or corrupted as a result of the negligent acts or omissions or willful misconduct of the NDHIN.

The Data Provider is solely responsible for the content of all Patient Data that the Data Provider makes available pursuant to this Agreement.

The Participant is solely responsible for validating the accuracy of all output and reports and protecting that Participant’s data and programs from loss by implementing appropriate security measures, including routine backup procedures. The Participant waives any damages occasioned by lost or corrupt data, incorrect reports, or incorrect data files resulting from programming error, operator error, equipment or software malfunction, security violations, or the use of third-party software. Redwood MedNet is not responsible for the content of any information transmitted or received through the System or the Services. The Data Provider is solely responsible for the content of all Patient Data that the Data Provider makes available pursuant to this Agreement.

HIO is not responsible for the content of any information transmitted or received through HIO’s provision of the Services. Inaccurate Data. All data to which access is made through the System and/or the Services originates from Data Providers and other parties making data available through one (1) or more Other Health Information Sharing Programs, and not from HIO. All such data is subject to change arising from numerous factors, including without limitation, changes to patient health information made at the request of the patient, changes in the patient’s health condition, the passage of time and other factors. HIO neither initiates the transmission of any data nor monitors the specific content of data being transmitted. Without limiting any other provision of the Terms and Conditions, HIO shall have no responsibility for or liability related to the accuracy, content, currency, completeness, content, or delivery of any data either provided by a Data Provider, or used by a Data Recipient, pursuant to the Terms and Conditions.

Participant is solely responsible for validating the accuracy of all output and reports and protecting Participant’s data and programs from loss by implementing appropriate security measures, including routine backup procedures. Participant waives any damages occasioned by lost or corrupt data, incorrect reports, or incorrect data files resulting from programming error, operator error, equipment or software malfunction, security violations, or the use of third-party software. EXHIBIT D BUSINESS ASSOCIATE ADDENDUM Participant (“Covered Entity” or "CE") and SJHS (“Business Associate” or “BA"), hereby agree to the following in order to fulfill the requirements of the Health Insurance Portability and Accountability Act of 1996, Public Law 104-191 ("HIPAA"), the Health Information Technology for Economic and Clinical Health Act, Public Law 000-000 ("xxx XXXXXX Xxx"), and regulations promulgated thereunder by the U.S. Department of Health and Human Services (the "HIPAA Regulations") and other applicable state and federal laws and regulations:
