Party Software definition

Party Software means software or SaaS that is owned by a party other than either You or Us which may be supplied under this Agreement as specified in a Statement of Work;
Party Software means software that is developed for general commercial use, available to the public or not developed for HSD. Third-Party Software includes, without limitation, commercial off-the-shelf software, operating system software, and application software, tools and utilities.
Party Software means the Applications Software and System Software used to provide the Services, which are provided under license to IBM or SCA by a Third Party, and includes any related software and ongoing services (e.g., maintenance and support services, upgrades, subscription services) provided by third parties.

  • Use of the Third Party Software by you shall be governed by such Third Party Terms, or if no Third Party License Terms apply, then the Third Party Software is provided to you as-is for use in or with the Software subject to the Agreement with Microsoft and not otherwise used separately.

  • Customer acknowledges that some portions of the Totara Platform contain Third Party Software.

  • Copyright to Third Party Software is held by the copyright holders indicated in the Third Party Terms.

  • Notwithstanding anything to the contrary herein, Third Party Software is licensed or provided to you subject to the pass-through terms and conditions of the separate license agreements as described in the Attachment hereto and any additional terms or agreements provided by the third party licensor or supplier ("Third Party Terms").

  • Use of such Third Party Software may be governed by separate licenses, which shall be identified in the Documentation, on Totara Learning’s website, or in other material provided or made available to Customer by or on behalf of Totara Learning.

  • Although the Software may be used or useful in connection with Third Party Software, the License does not grant Company any license or sublicense to any Third Party Software or the copyrights therein, and Company remains solely responsible for obtaining any license rights necessary for Company or its Affiliates, Sublicensees or End Users to use any Third Party Software.

  • In addition to the Standard Reports, Visualiser Advanced enables the Customer to create Customized Reports and analyses provided the Customer is using Microsoft Excel 2013 (or higher), and/or Microsoft PowerBI Pro and/or such other Third Party Software as Keyloop may notify Customer of from time to time.

  • You acknowledge and agree that the Software may include, incorporate, bundle, or otherwise be aggregated with, third party software licensed or supplied by a TDSL licensor or supplier and/or open source software licensed or provided under an open source license (Open Source Software) (collectively, "Third Party Software").

  • Client Materials means any data, documents, software, Third Party Software provided by the Client, or other materials provided to Kineo by or on behalf of the Client to enable Kineo to provide the Learning Management System to the Client.

  • The Customer is required to maintain valid licences in respect of such Third Party Software.


More Definitions of Party Software

Party Software means the software programs proprietary to third parties which are to be provided to the Customer without modification. VAT means United Kingdom value added tax and any other tax imposed in substitution for it.

This cost includes hosting UDS files that are created as part of a conversion process needed to stream visualisations; storage is available in two formats; Archive Storage and Hosted Storage. Archive Storage is long term storage of data. Retrieval from Archive Storage incurs additional time and costs as per the pricing schedule found at xxxxx://xxx. xxxxxxxxx.xxx/xxxxxxx-xxxxx-xxxxxxxx/. Hosted Storage is data that is always ready to be streamed or downloaded.
Party Software means the software described in the Order for which the Supplier will procure a licence for the Customer in accordance with clause 6 VAT means value added tax under the Value Added Taxes Act 1994 or any other similar sale or fiscal tax applying to the sale of the Deliverables; and Goods Warranty Period has the meaning given in clause 9.1.
Party Software means any Software that is not owned by us, including without limitation open-source software. Working Day has the meaning set out in the Companies Xxx 0000.
Party Software means any software which is owned by a third party, and is provided by either Xxxxx or the Client, and forms part of the Learning Management System; Totara Learning means the owner of the Totara Platform, as stated in the Totara Subscription Agreement. Totara Platform means the software which is proprietary to Totara Learning, comprised of (1) Totara Core (based on Moodle software) and (2) Totara Enterprise Extensions, as may be updated by Totara Learning from time to time. Totara Subscription Agreement means the product licence and subscription agreement between the Client and Totara Learning attached to this Agreement as Schedule 3 which enables the Client to access and use the Totara Platform in order to use the Learning Management System. Virus means any software, code, file, programme, or similar, which may: a. prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; b. prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re-arranging, altering or erasing the programme or data in whole or part or otherwise); c. or adversely affect the user experience, including worms, trojan horses, viruses and other similar things or devices. User means a person under the direction or authorisation of the Client who may access and use the Learning Management System during the Term. Working Day means any day that is not a Saturday, Sunday, or public holiday in the Territory. Working Hour means the hours between 09:00 and 17:00 in the Territory on a Working Day.

Related to Party Software

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Customer Software means software which is owned by or licensed to the Customer, including Specially Written Software and Assigned Software and software which is or will be used by the Supplier for the purposes of providing the Services but excluding the Supplier Software;

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Company Software means Software owned or purported to be owned by or developed by or for the Company or any Company Subsidiary.

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.

  • Open Source Software means software or similar subject matter that is distributed under an open source license such as (by way of example only) the GNU General Public License, GNU Lesser General Public License, Apache License, Mozilla Public License, BSD License, MIT License, Common Public License, any derivative of any of the foregoing licenses, or any other license approved as an open source license by the Open Source Initiative or as a free software license by the Free Software Foundation.

  • Software means computer programs, including any and all software implementations of algorithms, models and methodologies whether in source code, object code or other form, databases and compilations, including any and all data and collections of data, descriptions, flow-charts and other work product used to design, plan, organize and develop any of the foregoing and all documentation, including user manuals and training materials related to any of the foregoing.

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Service Software means any and all software applications and any third-party or other software, and all new versions, updates, revisions, improvements and modifications of the foregoing, that Contractor provides remote access to and use of as part of the Services.
