PATIENT HEALTH INFORMATION. 11.6.1 Design Professional acknowledges that its employees, agents, subcontractors, consultants and others acting on its behalf may come into contact with Patient Health Information ("PHI") while performing work at the Project Site. This contact is most likely rare and brief (e.g. walking through a clinic where patient files may be visible, overhearing conversations between physicians while working or touring a hospital, noticing a relative or acquaintance receiving treatment in a University facility, etc.). Design Professional shall immediately notify University Representative of any such contact. Any and all forms of PHI should not be examined closer, copied, photographed, recorded in any manner, distributed or shared. Design Professional will adopt procedures to ensure that its employees, agents and subcontractors refrain from such activity. If Design Professional, its employees, agents or subcontractors do further examine, copy, photograph, record in any manner, distribute or share this information, Design Professional will report such actions immediately to the University Representative. Design Professional will immediately take all steps necessary to stop any such actions and will ensure that no further violations of this contractual responsibility will occur. Design Professional will report to University Representative within five (5) days after Design Professional gives University Representative notice of the event/action of the steps taken to prevent future occurrences.

PATIENT HEALTH INFORMATION. McKesson Medical-Surgical understands the important role our employees play in ensuring our Customer’s HIPAA compliance. As McKesson Medical-Surgical performs Preventative Maintenance Services or Equipment Repairs, McKesson Medical-Surgical may inadvertently come into contact with, access, receive or view Customer’s patient Protected Health Information (“PHI”). This is considered an “incidental” disclosure and is permitted under the HIPAA Privacy Rule. McKesson Medical-Surgical will protect the confidentiality of Customer’s patient PHI and return or destroy any PHI that McKesson Medical-Surgical inadvertently receives.

PATIENT HEALTH INFORMATION. The parties agree to maintain the privacy and security of any individually identifiable patient health information received from or created for the other party in accordance with all relevant state and federal laws and regulations, including, but not limited to, the privacy and security standards of the Health Insurance Portability and Accountability Act of 1996 set forth at 45 CFR parts 160, 162 and 164 (collectively “HIPAA”), and agree to take such actions as are necessary and appropriate in connection therewith. Both parties agree that this Section 12 is a material consideration to this Agreement and shall survive the termination of this Agreement.
