Transition Personnel. (a) It is recognized and understood that in order to provide a smooth transition and to efficiently service the Assets and liabilities during the Transition Period, it will be necessary for personnel, including certain former employees of the Failed Bank or other personnel ("Transition Personnel") to perform services for both the Lead Acquirer and Non-Lead Acquirers. The Lead Acquirer shall hire directly or contract through a temporary employment agency such employees, who may be either former employees of the Failed Bank or other personnel (or the Lead Acquirer may assign its employees) as are required by the Lead Acquirer to provide transition services during the Transition Period. All Transition Personnel shall report to and be managed by the Lead Acquirer; provided, that the Transition Personnel shall not take any of the following actions with respect to any Asset without the prior written consent of the Acquirer who owns such Asset at the time such action is initiated: any advance of funds or credit, and any commitment to advance funds or credit; any modification, extension, forgiveness, renewal, or other material change in the terms and conditions of any agreement governing such Asset, including, without limitation, any release of collateral; any exercise of any default remedy (including, without limitation, the initiation of any foreclosure or enforcement proceedings); the retention of any outside professional assistance (including, without limitation, the advice of outside legal counsel or accountants); or any material expenditure to preserve the value of such Asset.

Transition Personnel. (a) SilverCrest shall, and it shall cause the SilverCrest Subsidiaries to allow certain Retained Personnel whose ordinary employment is primarily in Mexico and who are identified by SpinCo not later than 30 days prior to the Effective Date to agree to make themselves available without cost on an “as needed” basis during a period of three months from the Effective Date to provide such support as may reasonably be requested by SpinCo in connection with the transition of its business.
Transition Personnel. As part of the transition of distribution purchasing from WO’s current primary distributor to UNFI, UNFI and WO recognize that certain existing shelf tags for certain items on the APL must be replaced. The Sellers shall be solely responsible for all such costs and expenses incurred by the Sellers for all periods prior to and after the Transition Personnel Period.

Transition Personnel. As part of the transition of distribution purchasing from WO's current primary distributor to TOL, TOL and WO recognize that all existing shelf tags for all items on the APL must be replaced. TOL agrees that it will provide, at its cost, the necessary labor per store to retag all Products on the APL under the supervision of one WO employee per Store. TOL shall provide sufficient trained personnel to complete an average 24,000 square foot store in forty-eight (48) hours. All retagging activities will be subject to WO reasonable approval. The time table for the completion of all retagging, and the process by which retagging will proceed, is set forth on Exhibit R to this Agreement.

  • Review Systems; Personnel It will maintain business process management and/or other systems necessary to ensure that it can perform each Test and, on execution of this Agreement, will load each Test into these systems. The Asset Representations Reviewer will ensure that these systems allow for each Review Receivable and the related Review Materials to be individually tracked and stored as contemplated by this Agreement. The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.

  • Personnel Provide, without remuneration from or other cost to the Trust, the services of individuals competent to perform the administrative functions which are not performed by employees or other agents engaged by the Trust or by the Adviser acting in some other capacity pursuant to a separate agreement or arrangement with the Trust.

  • Independent Contractor Benefits It is the express intention of the Company and Consultant that Consultant performs the Services as an independent contractor. Nothing in this Agreement shall in any way be construed to constitute Consultant as an employee or entitling Consultant to any of benefits otherwise provided to employees of the Company. Consultant acknowledges and agrees that Consultant is obligated to report as income all compensation received by Consultant pursuant to this Agreement. Consultant agrees to and acknowledges the obligation to pay all self-employment and other taxes on such income.

  • Key Personnel C4.1 The Contractor acknowledges that the Key Personnel are essential to the proper provision of the Services to the Authority.

  • Access to Personnel and Records Each Party shall authorize its respective auditors to make reasonably available to each other Party’s auditors (each such other Party’s auditors, collectively, the “Other Parties’ Auditors”) both the personnel who performed or are performing the annual audits of such audited Party (each such Party with respect to its own audit, the “Audited Party”) and work papers related to the annual audits of such Audited Party, in all cases within a reasonable time prior to such Audited Party’s auditors’ opinion date, so that the Other Parties’ Auditors are able to perform the procedures they reasonably consider necessary to take responsibility for the work of the Audited Party’s auditors as it relates to their auditors’ report on such other Party’s financial statements, all within sufficient time to enable such other Party to meet its timetable for the printing, filing and public dissemination of its annual financial statements. Each Party shall make reasonably available to the Other Parties’ Auditors and management its personnel and Records in a reasonable time prior to the Other Parties’ Auditors’ opinion date and other Parties’ management’s assessment date so that the Other Parties’ Auditors and other Parties’ management are able to perform the procedures they reasonably consider necessary to conduct the Internal Control Audit and Management Assessments.

  • Transition Assistance If this Contract is not renewed at the end of this term, if the Contract is otherwise terminated before project completion, or if particular work on a project is terminated for any reason, Contractor shall provide transition assistance for a reasonable, mutually agreed period of time after the expiration or termination of this Contract or particular work under this Contract. The purpose of this assistance is to allow for the expired or terminated portion of the services to continue without interruption or adverse effect, and to facilitate the orderly transfer of such services to State or its designees. The parties agree that such transition assistance is governed by the terms and conditions of this Contract, except for those terms or conditions that do not reasonably apply to such transition assistance. State shall pay Contractor for any resources utilized in performing such transition assistance at the most current Contract rates. If State terminates a project or this Contract for cause, then State may offset the cost of paying Contractor for the additional resources Contractor utilized in providing transition assistance with any damages State may have sustained as a result of Contractor’s breach.

  • Non-Recruitment of Employees During the Restricted Period, Executive will not, directly or indirectly, solicit, recruit or induce any Employee to (i) terminate his or her employment relationship with the Company or any of its Subsidiaries or (ii) work for any other person or entity engaged in the Business.

  • Transition Period Due to the nature of our purchasing process, the District often requires an existing service provider to continue to provide goods and/or services while the District is in the process of advertising, evaluating, and awarding a contract for the provision of the same goods and/or services in the future. To accommodate this process, the Contractor shall agree to maintain the same terms and conditions set forth in this Agreement for a period up to ninety (90) days after the automatic termination of this Agreement at the end of its term, if requested by the District, as a transition period. In addition, if the Contractor is not the successful bidder for a future solicitation for the same or similar services, he or she shall agree to provide the same goods and/or services provided in this Agreement for a period up to ninety (90) days to allow for an orderly transition to the new provider. The District and the Contractor may mutually agree to a longer transition period.
