Certain Items means such items that are required to be included in the calculation of Net Income in accordance with GAAP that either (i) are non-cash or (ii) by their nature are separately identifiable from the Borrower and the Subsidiariesnormal business operations and are likely to occur only sporadically, and are reflected as such in the Annual Report on Form 10-K of the Borrower or in the Quarterly Report on Form 10-Q of the Borrower, in each case filed with the SEC. For the avoidance of doubt, Certain Items will be unadjusted for noncontrolling interests related thereto.
