Title to Documents. Title to all plans, specifications, maps, estimates, reports, manuscripts, drawings, descriptions, equipment and other final work products compiled by the CONSULTANT under the contract shall be vested in HCAOG and CALTRANS, none of which shall be used in any manner whatsoever, by any person, firm, corporation, or agency without the expressed written consent of HCAOG. HCAOG shall indemnify, defend and hold CONSULTANT harmless against claims, losses, liabilities and costs (including reasonable attorney’s fees) arising out of the use of such documents, data, or materials by HCAOG or any party using them with the express written consent of HCAOG other than the CONSULTANT or the subcontractors of CONSULTANT acting pursuant to its direction. Such indemnification shall not apply where damages, liabilities, or costs are caused by the sole negligence or willful misconduct of CONSULTANT.

Title to Documents. All reports, drawings, specifications, submittals and other materials collected or produced by the CONSULTANT hereunder shall, after completion and acceptance, become the property of the DISTRICT. The CONSULTANT may utilize existing materials developed by the CONSULTANT prior to the commencement of this engagement including, but not limited to, customized computer routines developed using proprietary or commercial software packages, reports, documents, maps, graphs, charts, photographs and photographic negatives. These materials shall remain the property of the CONSULTANT. CONSULTANT shall be entitled to a reproducible copy of all material furnished to DISTRICT, the costs of which is included on the compensation amounts specified in Appendix A and/or the Amendment(s), Any uncompleted work of CONSULTANT delivered to DISTRICT due to cancellation of all or portions of the work or contract termination, which utilized by DISTRICT in any way , shall have CONSULTANT name removed, and DISTRICT agrees to defend, Indemnify, and hold harmless CONSULTANT from all claims, damages, and expenses including attorney’s fees arising from any use by DISTRICT of such uncompleted work Product.
Title to Documents. All documents, plans, and drawings, maps, photographs, and other papers, or copies thereof prepared by CONTRACTOR pursuant to the terms of this Agreement, shall, upon preparation, become CITY property.
Title to Documents. All plans, drawings, specifications, designs, reports, financial model (including all investments, financing structure etc.) and other documents and software prepared by the Operator in the course of performing its obligations under this Agreement shall remain property of the Operator; and the Operator hereby grants to the Authority a non-exclusive royalty free licence to use for all purposes in connection with the Facilities, and grants a right to use all intellectual property rights for, all such plans, drawings, specifications, designs, reports, and other documents and software together. In addition the Operator shall provide copies of all contracts with the sub-contractors to the Authority for their review. On expiry or termination of the Agreement the Operator shall deliver a copy of all documents and software to the Authority, together with a detailed inventory thereof and grant a non- exclusive royalty free license to use such documents and software in connection with the Project. The Operator may retain copies of such documents and software.
Title to Documents. Title to all information, documents, materials, drawings and specifications prepared or provided by Consultant as part of the Services shall vest in Client upon delivery of the same to Client and Client shall have the unfettered right to use the same. All information, documents and materials relating to any Project obtained or reviewed by Consultant in performing its obligations pursuant to this Agreement shall be and remain the property of Client, and Consultant shall use the same only for performance of the Services and shall not duplicate the same, in whole or in part, except as reasonably required in performing the Services. If and to the extent Client is required to have a license to utilize or process the information proposed or provided by Consultant and Consultant holds such a license or may provide such a license, Consultant hereby provides to Client such a license or provides a sublicense to Client for the purpose of allowing Client to utilize or process the information prepared or provided by Consultant. In addition, all Services are hereby deemed “work made for hire”.
Title to Documents. The CITY has permanent ownership of all directly connected and derivative materials produced under this Agreement by the CONSULTANT, except for the CONSULTANT’S working papers (e.g. audit plans/programs, worksheets, memorandum and related documents supporting the CONSULTANT’S reports). These CONSULTANT’S working papers will remain the property of the CONSULTANT, but will be available for the CITY to review at a mutually agreeable time during the normal business hours of the CONSULTANT. The reports provided by the CONSULTANT at the end of the engagement will become property of the CITY and may be distributed as necessary based on the needs and approval of the CITY. All documents reports and other incidental or derivative work or materials furnished hereunder, except the CONSULTANT’S working papers as described above, shall become and remain the sole property of the CITY and may be used by the CITY is it may require without additional cost to the CITY. None of the documents, reports and other incidental or derivative work or furnished materials shall be used by the CONSULTANT without the express written consent of the CITY.

Title to Documents. All original calculations, photographs, maps, drawings, plans, design notes and other material or documents developed or used in connection with the performance of this Agreement shall be the property of DISTRICT provided, however, that CONSULTANT may provide DISTRICT with legible photostatic copies thereof in lieu of the originals upon approval by DISTRICT representative. All such material and documents shall remain confidential and may not be divulged, published or shared by CONSULTANT without the prior written consent of DISTRICT. Any plans and specifications shall bear the name of the CONSULTANT together with his certificate number, if any. If CONSULTANT’S working papers or product includes computer generated statistical material, CONSULTANT shall provide the material including the data base upon which it is based to DISTRICT in a mutually agreed upon computer machine- readable format and media.
