Term and Nature of Employment. This Agreement shall be for a term of one year, commencing on its effective date, subject, however, to termination during such period as provided in this Article and approval of the Board of Directors of Procyon in its annual meeting. Nothing contained in this Agreement shall be construed to constitute a promise of employment to the Executive for a fixed term. Executive's employment under this Agreement is strictly "at will," and may be terminated by the Executive, AMERX or Procyon, upon thirty days written notice, for any reason or no reason, with or without cause.
Term and Nature of Employment. 3.01 Executive's employment hereunder shall be for an initial term commencing on the date hereof and ending on February 28, 2013 (the first anniversary of the date hereof). Neither the Company nor Executive shall be obligated to extend the term of Executive's employment.
Term and Nature of Employment. 3.01 Executive’s employment hereunder shall be for an initial term of two (2) years, ending April 1, 2008. Neither the Company nor Executive shall be obligated to extend such term of the employment relationship. The term of Executive’s employment shall automatically be extended for successive one (1) year periods unless the Company or Executive elects not to extend employment by giving written notice to the other not less than thirty (30) days prior to the end of the initial term or any extension periods. The terms and conditions of this Agreement may be amended from time to time with the consent of the Company and Executive. All such amendments shall be effective when memorialized by a written agreement between the Company and Executive, following approval by the Company’s Compensation Committee (the “Committee”).
Term and Nature of Employment. 3.01 Executive’s employment on the basis described in this Agreement shall commence April 3, 2014, and will terminate on the one-year anniversary of that date unless terminated earlier as described in this Agreement. Neither the Company nor Executive shall be obligated to extend the term of this Agreement. However, the initial one-year term shall automatically be extended for successive one-year periods unless the Company or Executive elects not to do so by giving written notice to the other not less than 90 days prior to the end of the then-current term.
Term and Nature of Employment. 3.1 Executive's employment hereunder shall be for an initial term commencing on the date hereof and ending on January 5, 2016 (the first anniversary of the date hereof). Neither the Company nor Executive shall be obligated to extend the term of Executive's employment. In connection with the Company’s determination described in Sections 3.1 and 3.2 of this Agreement to extend or not extend the term of Executive’s employment, the Company shall extend such term, absent (a) Cause, or (b) the Board’s determination, in good faith and subject to the procedures described in the last paragraph of Section 6.2 of this Agreement, that Executive’s performance of his duties has been unsatisfactory, and the Company having given Executive at least 60 days’ written notice of such determination and opportunity to cure same.

CEL-SCI hereby employs EMPLOYEE as Chief Executive Officer of CEL-SCI commencing on the Effective Date of this AGREEMENT and ending on August 31, 2023, unless said period of employment (the "Employment Period") is terminated earlier in accordance with the terms of this AGREEMENT. Thereafter, EMPLOYEE shall be employed on an at-will basis and may terminate and may be terminated from his employment with or without cause. EMPLOYEE hereby accepts such employment and agrees to devote his full business time and attention, best efforts, energy and skills to the business and affairs of CEL-SCI. EMPLOYEE agrees to perform such other duties as may from time to time be assigned to him by the Board of Directors of CEL-SCI and shall act at all times in accordance with the best interests of CEL-SCI. EMPLOYEE agrees that he shall comply with all applicable governmental laws, rules and regulations and with all of CEL-SCI's policies, rules and/or regulations applicable to the employees of CEL-SCI.
Term and Nature of Employment. TRIANGLE hereby employs XX. XXXXX as Chief Executive Officer of TRIANGLE for a two (2) year period commencing on the Effective Date of this AGREEMENT and ending on the second anniversary of the Effective Date, unless said period of employment (the "Employment Period") is terminated earlier in accordance with the terms of this AGREEMENT or is extended pursuant to a written amendment executed by both parties. XX. XXXXX hereby accepts such employment and agrees to devote his full business time and attention, best efforts, energy and skills to the business and affairs of TRIANGLE. XX. XXXXX agrees to perform such other duties as may from time to time be assigned to him by the Board of Directors of TRIANGLE and shall act at all times in accordance with the best interests of TRIANGLE. XX. XXXXX agrees that he shall comply with all applicable governmental laws, rules and regulations and with all of TRIANGLE's policies, rules and/or regulations applicable to the employees of TRIANGLE. The employment relationship between TRIANGLE and XX. XXXXX may be terminated by TRIANGLE or by XX. XXXXX at any time, with or without cause, subject to the terms and conditions contained in article 5 of this AGREEMENT and the obligations described in articles 6 and 7 hereof.
