Employment; Acceptance of Employment. Company hereby employs Executive and Executive hereby accepts employment by Company for the period and upon the terms and conditions hereinafter set forth.

Effective on the date hereof, this Agreement replaces the Employment Agreement between Company and Executive, dated as of April 1, 2006 and amended and restated on May 23, 2006, and the rights and obligations of each party shall be governed by this Agreement.

Effective on the Closing Date, as defined in the Agreement and Plan of Merger, dated on or about May 23, 2006 (the "Merger Agreement"), among Company, CWMS Merger Corp., a Georgia corporation and a direct wholly-owned subsidiary of Company, and Enstar Group, Inc., a Georgia corporation, the Employment Agreement between Company and Executive, dated as of April 1, 2006 is hereby amended and restated and the rights and obligations of each party shall be governed by this amended and restated Agreement. For the avoidance of doubt, the consummation of the transactions contemplated in the Merger Agreement shall not be a "Change in Control" for purposes of this Agreement. As of the Closing Date, any other employment agreements between Executive and Company or any affiliate thereof are hereby terminated. In the event the Merger Agreement is terminated pursuant to the provisions thereof, this Amended and Restated Agreement shall become void and shall have no effect, and the terms of the Employment Agreement, as entered into on April 1, 2006 and as in effect immediately prior to the execution of this Amended and Restated Employment Agreement shall continue in full force and effect.
