Technical Assistance Fee. If the Franchisee requires any technical assistance from the Franchisor following completion of the initial set up and connection to the system, the Franchisee will pay the Technical Assistance Fee to the Franchisor. For clarity, technical assistance includes without limitation replacing lost passwords, login details, AUSkey details or reconnection to the system. Service Fee If the Franchisor becomes aware that the Franchisee is not meeting the quality standards set out in the Manuals, the Franchisor may at its discretion perform remedial services to rectify the shortcoming and the Franchisee will pay the Service Fee to the Franchisor for such remedial services.
Technical Assistance Fee. In consideration of the provision by the Sublicensor to the Sublicensee of technical assistance in the development and operation of the Retail Location through the Sublicensee, the Sublicensee shall pay to the Sublicensor a Technical Assistance Fee. It is the understanding of the Parties that the Technical Assistance Fee will compensate the Sublicensor for technical assistance services provided to Sublicensee. The Technical Assistance Fee shall be paid for the services set forth in Schedule V. The Technical Assistance Fee shall be paid monthly and in advance.
Technical Assistance Fee. Promptly following the Effective Date, Developer shall pay seventy five thousand dollars ($75,000) to the Foundation, which shall constitute Developer’s payment for 2013 for the operation of the Implementation Committee under section 6.1 of the CCBA. Following the Effective Date and receipt of such payment, the Foundation shall deposit such amount into the Annual Fund and shall utilize seventy-five thousand dollars ($75,000) from the Annual Fund for payment of the Technical Assistance Fee (as defined in the Agreement) for 2013. After receipt of the Developer’s annual payment for 2014 into the Annual Fund, which will be delivered by Developer no later than July 1, 2014, the Foundation shall utilize seventy-five thousand dollars ($75,000) from the Annual Fund for payment of the Technical Assistance Fee for 2014. If the Implementation Committee chooses to utilize funds from either the Workforce Development Fund or the Community First Housing Fund for payment of some or all of the Technical Assistance Fee, the Foundation shall utilize such funds for such purposes, pursuant to instruction based on formal action of the Implementation Committee, provided that in no event shall the total Technical Assistance Fee for 2013 or 2014 paid from all sources (i.e., the Annual Fund, the Workforce Development Fund and/or the Community First Housing Fund) be in an amount greater than seventy-five thousand dollars ($75,000) per year.
Technical Assistance Fee. In consideration of the training and technical assistance supplied by Licensor pursuant to Sections 3.2, 3.3 and 3.4 above (collectively, "Technical Assistance"), Licensee shall pay to Licensor on an actual cost basis calculated by multiplying the actual Base Salary Hourly Rate cost of Licensee personnel, assigned to perform the Technical Assistance for each hour, or part thereof, that such personnel are directly engage in such services, which amount shall be payable quarterly within 30 days of receiving the corresponding invoice from Licensor. For Technical Assistance supplied by Licensor under Section 3.4 for Facilities other than the First Facility, Licensee or its sub-Licensee, as the case may be, shall pay reasonable rates to be mutually agreed between the parties. Licensee shall also bear all reasonable costs and expenses incurred in connection with such technical assistance whether for its own employees or those of Licensor, including international and local transportation, lodging, meals and living expenses. All transportation, lodging and meals furnished to Licensor's technical experts shall be of a class and quality consistent with their positions.
