SUSPENSION OF USE OF PROSPECTUS. Subject to Section 2(C), the Company may, by written notice to the Purchasers, (i) delay the filing of, or effectiveness of, a Registration Statement; or (ii) suspend such Registration Statement after effectiveness and require that the Purchasers immediately cease sales of Registrable Securities pursuant to such Registration Statement, if (a) the Company reasonably believes that there is or may be in existence material nonpublic information or events involving the Company, the failure of which to be disclosed in the prospectus included in the registration statement would result in a Violation and that the Company needs time to prepare an amendment or supplement to disclose such information or (b) the Company reasonably believes that the disclosure of such information is not, in the good faith judgment of the Board of Directors of the Company, in the best interests of the Company, in which case the Company shall furnish to the Purchasers a certificate signed by the Chairman of the Board of Directors of the Company stating that in the good faith judgment of the Board of Directors of the Company, it would not be in the best interests of the Company to disclose such material nonpublic information or events in the prospectus included in the registration statement (a “Suspension”). The Company shall not disclose such information or events to any Purchaser. If the Company requires the Purchasers to cease sales of Registrable Securities pursuant to a Suspension, the Company shall, as promptly as practicable following the termination of the circumstance which entitled the Company to do so, take such actions as may be necessary to reinstate the effectiveness of the Registration Statements covering such Registrable Securities, and/or give written notice to the Purchasers authorizing them to resume sales pursuant to the Registration Statements. If, as a result thereof, the prospectuses included in the Registration Statements have been amended to comply with the requirements of the Securities Act, the Company shall enclose such revised prospectuses with the notice to the Purchasers given pursuant hereto, and the Purchasers shall make no offers or sales of Registrable Securities pursuant to the Registration Statements other than by means of such revised prospectus. The Company shall not cause a Suspension on more than two occasions during any twelve (12) month period or for more than thirty (30) days per such occasion.

SUSPENSION OF USE OF PROSPECTUS. Each selling Holder of Registrable Securities agrees by having its securities treated as Registrable Securities hereunder that, upon receipt of written notice from the Company specifying that the prospectus (or other offering document) included in such Registration Statement contains an untrue statement of a material fact or omits any fact necessary to make the statements therein not misleading as a result of the happening of any event, such selling Holder will forthwith discontinue disposition of Registrable Securities until such selling Holder is advised by the Company that the use of the prospectus (or other offering document) may be resumed and is furnished with a supplemented or amended prospectus (or other offering document) as contemplated by Section 3.3(f) hereof, and, if so directed by the Company, such selling Holder will deliver to the Company all copies of the prospectus (or other offering document) covering such Registrable Securities then in such selling Holder’s possession at the time of receipt of such notice. If the Company shall give any notice to suspend the disposition of Registrable Securities, the Company shall extend the period of time during which the Company is required to maintain the Registration Statement effective pursuant to this Agreement by the number of days during the period from and including the date of the giving of such notice to and including the date such selling Holder either is advised by the Company that the use of the prospectus (or other offering document) may be resumed or receives the copies of the supplemented or amended prospectus (or other offering document) contemplated by Section 3.3(f).
SUSPENSION OF USE OF PROSPECTUS. Each Holder of Registrable Securities agrees that, upon receipt of any notice from the Company of the happening of any event of the kind described in Section 3.1.5, such Holder will forthwith discontinue disposition of Registrable Securities pursuant to such Registration Statement until such Holder’s receipt of the copies of the supplemented or amended Prospectus contemplated by Section 3.1.5, or until such Holder is advised in writing by the Company that the use of the Prospectus may be resumed, and if so directed by the Company, such Holder shall deliver to the Company (at the Company’s expense) all copies, other than permanent file copies then in such Holder’s possession, of the Prospectus covering such Registrable Securities current at the time of receipt of such notice. In the event the Company shall give any such notice, the period during which the applicable Registration Statement is required to be maintained effective shall be extended by the number of days during the period from and including the date of the giving of such notice to and including the date when each seller of Registrable Securities covered by such Registration Statement either receives the copies of the supplemented or amended Prospectus contemplated by Section 3.1.5 or is advised in writing by the Company that the use of the Prospectus may be resumed.
SUSPENSION OF USE OF PROSPECTUS. The Company may suspend the use of the Prospectus as required by law or, for a period not to exceed 60 days in the aggregate, for valid business reasons (not including avoidance of the Company's and the Guarantors' obligations hereunder), including the material acquisition or divestiture of assets, pending material corporate developments and similar events; provided, however, that the Company shall pay Liquidated Damages (as defined) during the period of any such suspension.
SUSPENSION OF USE OF PROSPECTUS. The Holder hereby acknowledges that there may occasionally be times when the Company must suspend the use of the prospectus forming a part of the Registration Statement until such time as an amendment to the Registration Statement has been filed by the Company and declared effective by the SEC or until the Company has amended or supplemented such prospectus. The Holder hereby covenants that it will not sell any securities pursuant to said prospectus during the period commencing at the time at which the Company gives the Holder notice of the suspension of the use of said prospectus and ending at the time the Company gives the Holder notice that Holder thereafter may effect sales pursuant to said prospectus. Notwithstanding anything herein to the contrary, the Company shall not suspend use of the prospectus forming a part of the Registration Statement by the Holder unless in the good faith opinion of the Company (after consultation with its counsel) or its counsel such suspension is required by the federal securities laws, including without limitation, the rules and regulations promulgated thereunder; provided, however, that in the event that such suspension is required by the need for an amendment or supplement to the Registration Statement or the prospectus forming a part thereof, the Company shall use its best efforts to file as soon as practicable such required amendments or supplements as shall be necessary for the disposition of the Registrable Securities to recommence.
SUSPENSION OF USE OF PROSPECTUS. Notwithstanding anything to the contrary in this Agreement, the Company or the Guarantor may suspend the use of any Prospectus under a Shelf Registration Statement or under an Exchange Offer Registration Statement (during the 180-day period set forth in the second paragraph of Section 3(c) hereof) for one or more periods not to exceed an aggregate of 75 days in any 12-month period if the Board of Directors of the Company or the Guarantor shall determine that they are required by applicable law to amend or supplement such Prospectus but, because of valid business reasons (not including avoidance of the obligations of the Company or the Guarantor hereunder), including the acquisition or divestiture of material assets, pending material corporate developments and similar events, it is in the best interests of the Company or the Guarantor, as applicable, at such time not to so amend or supplement such Prospectus but instead to suspend such use, and prior to suspending such use the Company provides the Holders with written notice (including a certificate of an authorized officer of the Company as to compliance with the terms of this subsection (d)) of such suspension, which notice need not specify the nature of the event giving rise to such suspension; provided that, notwithstanding the time period set forth above, such suspension period shall not continue beyond the minimum period required to achieve such valid business reasons; and provided further, that if such suspension period exceeds an aggregate of 15 days in any 12-month period, the full period of such suspension (beginning from the first day of such suspension) shall be deemed for all purposes under this Agreement to be a Registration Default under Section 5 hereof and each Holder of Transfer Restricted Securities shall be entitled to liquidated damages pursuant to the provisions of Section 5 for the entire suspension period (provided that such liquidated damages shall be the sole remedy of the Holders of Transfer Restricted Securities for the first 75 days of such suspension period).
SUSPENSION OF USE OF PROSPECTUS. NMS agrees, and each other Holder agrees by acquisition of an Exchange Share, that upon receipt of any notice (a “Suspension Notice”) from the Company of the existence of any fact of the kind described in Section 4(a)(ii)(D) hereof, such Holder will forthwith discontinue disposition of Exchange Shares pursuant to the Registration Statement until:
