Not Misleading. To Selling Group’s Knowledge, the representations and warranties contained in this ARTICLE III do not contain any untrue statement of a material fact or omit to state any material fact necessary in order to make the statements and information contained in ARTICLE III not misleading.
Not Misleading. On the effective date of the Registration Statement, at the time of the meeting of the shareholders of the Acquired Funds and on the Closing Date, any written information furnished by Purisima with respect to the Acquiring Fund for use in the Proxy Materials, the Registration Statement or any other materials provided in connection with the Reorganization does not and will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the information provided not misleading.
Not Misleading. The representations and warranties of Seller in this Agreement do not contain any untrue statement of a material fact or omit a material fact necessary to make the statements contained herein not misleading.

Without limiting any of the representations and warranties of Owner set forth in this Agreement, such representations and warranties do not make any untrue statement of a material fact, or to Owner's Knowledge, omit to state a material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading. The Company agrees that, if (i) during the Study Period, the Company shall discover any state of facts that differs from any of the representations set forth in Section 5.1 above or that would make such representations untrue, or (ii) if any of the documents listed in Exhibit 3.2.1 contains any facts or statements that differ from any of the representations set forth in Section 5.1 above or that would make such representations untrue, then the Company shall promptly advise the Owner in writing of such different state of facts.

Not Misleading. The Seller is not entering into this Agreement, the other Transaction Documents or the transactions contemplated thereby with a view to, or the intention of, fraudulently or misleadingly distorting the financial position or results of operations of any Company Party as they may be disclosed to the public, or otherwise as any scheme or artifice (or any part of any scheme or artifice) described in Section 807 of the Xxxxxxxx-Xxxxx Act of 2002 (18 U.S.C. Sec. 1348).

To the Knowledge of Sellers, none of the representations and warranties of Sellers in this Agreement or in any certificate or schedule delivered pursuant hereto or in connection with the transactions contemplated hereby, contain, or will contain at the time made or delivered, any untrue statement of a material fact or, omit to state a material fact necessary in order to make the statements herein and therein, in light of the circumstances in which they are made, not misleading.
Not Misleading. The Fairfax Information provided for inclusion in the Scheme Booklet, as at the date the Scheme Booklet is despatched to Tower Shareholders, will not contain any statement which is materially misleading or deceptive including by way of omission from that statement.
Not Misleading. None of the foregoing representations and warranties and no documents furnished by or on behalf of the Vendor to the Purchaser in connection herewith or hereunder, contains any untrue statement of material fact or omits to state any material fact that the Vendor knew or ought to have known is necessary to make any such representation or warranty not misleading to a prospective purchaser of the Purchased Shares seeking full information as to the Purchased Shares, the Corporation and its business and affairs.
Not Misleading is not, to FCF's actual knowledge (which for the purposes of this clause shall include the knowledge of the Specified Persons), misleading in any material respect.
