S cope of Use. Customer will use the Services only for its business operations and will not permit the Services to be used by or for the benefit of anyone other than Customer. This Agreement is sub-licensable to the Customer’s subcontractors, only in connection with the scope of work as defined in Schedule A, provided such sublicenses are pursuant to the same terms and conditions of this Agreement. Except as specifically permitted under this Agreement, Customer will not sell, sublicense, rent, lease, display, outsource or assign the Services or any related documentation, publish or make any of the same available on a time-sharing basis, or use any of the same to provide service bureau or similar services. Customer may not modify, translate, reverse engineer, decompile or create derivative works based upon the Services. Customer agrees to use the Services, in a manner that complies with all applicable laws, including intellectual property, copyright, and export laws. Rieker expressly reserves all rights not expressly granted to Customer herein. Customer will not export or re-export the Services without the appropriate U.S. and/or foreign government license(s) or license exception(s), and such licenses or exceptions shall be required to be secured by Customer to the reasonable satisfaction of Rieker, Inc.

S cope of Use. The Licensed Software, Sublicensed Software, and Cloud Services are priced based on certain metrics (e.g. Sites, Deliverables, Patient/Client Census, and/or Permitted Users) as set forth in an Order Form. Client may only expand its use of the Licensed Software, Sublicensed Software, and/or Cloud Services upon payment of the applicable additional license, support, and service fees at WellSky’s then-current rates. Any such fees for additional scope of use will be immediately due and payable. Form, WellSky shall grant the licenses to Sublicensed Software as set forth in an Order Form. Client agrees to purchase any Hardware set forth in an Order Form.
S cope of Use. Facility Owner facilities shall be used for the purposes of an Alternate Care Facility in the event of an emergency at the discretion of the SHD Health Officer or his or her designee. Said use shall be initiated by written notice from SHD to Facility Owner prior to or coincident with usage. Said use shall be terminated by written notice from SHD to Facility Owner as soon as is practical following passage of the emergency event, but no later than ten (10) days following the lifting of the declaration of state of emergency. Facility Owner shall have the right to terminate SHD’s use or occupancy of its facility upon (5) days written notice should Facility Owner determine that SHD’s use or occupancy substantially interferes with Facility Owner programs.

  • Scope of Use The Fund will use the System and the Data Access Services only for the processing of securities transactions, the keeping of books of account for the Fund and accessing data for purposes of reporting and analysis.
