Rights of Operator. In the event of termination or expiration of this Agreement, whether as a result of a default by OPERATOR or otherwise, OWNER shall not operate the Hotel under the Brand, nor, subject to Clause 24.6, shall OWNER use any variation of the Marks in designating or referring to the Hotel at any time, and OPERATOR or its designee may enter the Hotel and may remove all signs, furnishings, printed material, emblems, slogans or other distinguishing characteristics connected with the Marks.
Rights of Operator. Subject to the provisions of this Agreement, Northwestern shall, so long as Northwestern has not exercised its Option under section 2.8 and Minera Tango, Northwestern and the Mining Company have not yet entered into the Shareholders’ Agreement, be the Operator of the Concessions and their corresponding mining lots through NMS and, subject to the right of Minera Tango to enter in, under or upon the mining lots covered by the Concessions in accordance with the terms of this Agreement and subject to the provisions of the concessions that comprise the Concessions, any Applicable Laws and the rights of any Government Agency, shall have the sole and exclusive right:
Rights of Operator. Alamos shall act, or shall cause Alamos Mexico to act, as Operator of the Project during the Option Period, and as such, Alamos shall be, or shall cause Alamos Mexico to be, responsible in their sole discretion for carrying out and administering all Work, including the completion of all activities necessary to fulfill their obligations under this Agreement. Subject to the provisions of any Applicable Laws, ‎Section 7.4 and to the requirement to obtain the necessary permits, licenses and Authorizations to perform the Work, Alamos and/or Alamos Mexico, as the case may be, as Operator, shall have the sole and exclusive right:
Rights of Operator. (a) In the event that Owner decides to sell PST in a transaction in which PST is the only assets or properties being sold by Owner, and if Owner receives a bona fide offer for the purchase of PST that Owner is willing to accept, Owner shall provide written notice to Operator, specifying the price and other terms of the offer (“Notice”). Operator shall have a period of 15 Days following receipt of the Notice in which to elect whether or not Operator will match the terms of the offer set forth in the Notice. If Operator elects to match those terms, then Owner will sell PST to Operator at the price and on the other terms of the offer as set forth in the Notice. If PST elects not to match those terms, or fails to respond within that 15-Day period, then Owner shall be free to sell PST to the offeror and on terms and conditions not less favorable to Owner as those set forth in the Notice. The foregoing rights shall not apply to any transaction under which PST is part of a package of other assets or properties being sold by Owner.

  • Rights of Ownership All computer programs and procedures developed to perform services required to be provided by BISYS under this Agreement are the property of BISYS. All records and other data except such computer programs and procedures are the exclusive property of the Trust and all such other records and data will be furnished to the Trust in appropriate form as soon as practicable after termination of this Agreement for any reason.

  • Rights of Others I understand that the Company is now and may hereafter be subject to non-disclosure or confidentiality agreements with third persons which require the Company to protect or refrain from use of proprietary information. I agree to be bound by the terms of such agreements in the event I have access to such proprietary information.

  • Books and Records; Internal Accounting Controls The records and documents of the Company and its Subsidiaries accurately reflect in all material respects the information relating to the business of the Company and the Subsidiaries, the location and collection of their assets, and the nature of all transactions giving rise to the obligations or accounts receivable of the Company or any Subsidiary. The Company and each of its Subsidiaries maintain a system of internal accounting controls sufficient, in the judgment of the Company's board of directors, to provide reasonable assurance that (i) transactions are executed in accordance with management's general or specific authorizations, (ii) transactions are recorded as necessary to permit preparation of financial statements in conformity with generally accepted accounting principles and to maintain asset accountability, (iii) access to assets is permitted only in accordance with management's general or specific authorization and (iv) the recorded accountability for assets is compared with the existing assets at reasonable intervals and appropriate actions are taken with respect to any differences.

The transaction of any such business by the General Partner, any of its Affiliates or any officer, director, employee, partner, agent or trustee of the General Partner, the Partnership or any of their Affiliates, in their capacity as such, shall not affect, impair or eliminate the limitations on the liability of the Limited Partners or Assignees under this Agreement.

  • Keeping Books and Records The Borrower will maintain, and will cause each Subsidiary to maintain, proper books of record and account in which full, true, and correct entries in conformity with GAAP shall be made of all dealings and transactions in relation to its business and activities.

  • Books and Records; Inspection Rights The Borrower will, and will cause each of its Subsidiaries to, keep proper books of record and account in which full, true and correct entries are made of all dealings and transactions in relation to its business and activities. The Borrower will, and will cause each of its Subsidiaries to, permit any representatives designated by the Administrative Agent or any Lender, upon reasonable prior notice, to visit and inspect its properties, to examine and make extracts from its books and records, and to discuss its affairs, finances and condition with its officers and independent accountants, all at such reasonable times and as often as reasonably requested.

  • RIGHTS OF OWNERSHIP; RETURN OF RECORDS All records and other data except computer programs and procedures developed to perform services required to be provided by Ultimus are the exclusive property of the Trust and all such records and data will be furnished to the Trust in appropriate form as soon as practicable after termination of this Agreement for any reason. Ultimus may at its option at any time, and shall promptly upon the Trust's demand, turn over to the Trust and cease to retain Ultimus' files, records and documents created and maintained by Ultimus pursuant to this Agreement which are no longer needed by Ultimus in the performance of its services or for its legal protection. If not so turned over to the Trust, such documents and records will be retained by Ultimus for six years from the year of creation. At the end of such six-year period, such records and documents will be turned over to the Trust unless the Trust authorizes in writing the destruction of such records and documents.
