Return of Property and Documents. The Executive agrees that all property and documents (including, without limitation, hardware, software and information in machine-readable form) of any nature pertaining to activities of the Company and to any of its affiliated, related, associated or subsidiary companies, including Confidential Information, in the Executive's possession now or at any time during the Employment Period, are and shall be the property of the Company and its affiliated, related, associated or subsidiary companies, and that all such property and documents and all copies of documents shall be surrendered to the Company whenever requested by the Company.
Return of Property and Documents. As a material provision of this Separation Agreement, and as a condition of the receipt of the termination payments and benefits described in Sections 2(b) of this Separation Agreement, as of the date of the Employee’s termination of employment, the Employee shall have, and represent to have, returned to the Company all Company property (including, without limitation, any and all computers, identification cards, card key passes, fobs, corporate credit cards, corporate phone cards, corporate motor vehicles, files, memoranda, keys and software) in the Employee’s possession and the Employee shall not make or retain any duplicates or reproductions of such items. The Employee further agrees that, as a material provision of this Separation Agreement, as of the date of the Employee’s termination of employment, the Employee shall have, and represent to have, delivered to the Company all copies of any confidential information of the Company in the Employee’s possession, custody or control, including all copies of any analyses, compilations, studies or other documents in the Employee’s possession, custody or control that contain any such confidential information (whether in electronic or paper form), and that as of the date of the Employee’s termination of employment, the Employee shall no longer possess any such Company property or confidential information in any form. The Company has no obligation to pay the termination payments and benefits in Section 2(b) of this Separation Agreement until it is satisfied that the Employee has returned all Company property the Employee possesses or controls.

Executive further represents and warrants that he has delivered to Vonage all copies of any Confidential Information (as defined in the Confidentiality Agreement) in his possession or control and has destroyed all copies of any analyses, compilations, studies or other documents in his possession that contain any Confidential Information. Notwithstanding the foregoing, Executive shall maintain ownership and use of his rolodex and other address books, and Vonage agrees to cooperate with Executive in the transfer to Executive of cell phone and BlackBerry numbers used by Executive if such numbers are registered in Vonage’s name.
Return of Property and Documents. Whenever requested to do so by the Company the Executive shall immediately return to the Company in accordance with its instructions all records, papers, correspondence, customer files, equipment (including computer equipment), mobile telephone, software, notes, reports or property of whatsoever nature (including keys, books, materials and credit cards) which may be in his possession or control and which relate in any way to the business or affairs of the Company and any Group Company, and no copies, notes or abridgements of any of the above shall be retained by him.

Return of Property and Documents. (a) Executive covenants that on or promptly following the Continued Employment Date Executive will return to the Company all Company property in his possession (including, without limitation, computers, materials, records and documents), and will retain no copies (electronic or otherwise) of, any written materials, records and documents made by Executive or coming into Executive’s possession or control in Executive’s capacity as an employee, officer or board member during the course of Executive’s employment with the Company, which contain, relate or refer to, any proprietary or Confidential Information. Notwithstanding the foregoing, Executive may temporarily retain possession of such Company property as is reasonably necessary for him to perform his assigned duties during the Transition Period. Executive agrees that at the expiration of the Transition Period, he will return to the Company all such Company property in his possession, whether obtained prior to the Employment Termination Date or during the Transition Period, and that he will retain no copies of any written materials, records and documents made by Executive or coming into Executive’s possession or control during the course of Executive’s performing his services to the Company prior to the Employment Termination Date or during the Transition Period, which contain, relate or refer to, any proprietary or Confidential Information.
