Request by Holder. If at any time after the Automatic Registration Statement has been suspended or is otherwise no longer effective, the Company shall receive a written request from the Holder that the Company file a registration statement under the Securities Act on Form S-3, or other available form if Form S-3 shall not be available, covering the registration of the Registrable Securities held by Holder, then the Company shall, as soon as practicable, but in no event more than thirty (30) days after such request, file such a registration statement for the registration under the Securities Act of all Registrable Securities that the Holder requests to be registered and included in such registration, as soon as reasonably practicable thereafter, but in no event later than sixty (60) days after such filing shall cause such registration statement to be declared effective and to obtain and maintain in full force and effect all related qualifications, registrations or other compliances that may be necessary under the laws of any applicable jurisdiction, including, without limitation, state securities or "blue sky" laws.

Request by Holder. If, at any time following the first anniversary of the Closing, as defined in the Purchase Agreement, the Company receives a written request from the Holder that the Company file a registration statement under the Securities Act on Form S-3 covering the registration of Registrable Securities (a “Demand Notice”), then the Company shall use commercially reasonable efforts to effect, as soon as practicable, the registration under the Securities Act of all Registrable Securities that the Holder requests to be registered in such Demand Notice within thirty (30) days after receipt of such Demand Notice.

Request by Holder. If the Company shall receive a written request from the Holder (a "Demand Request") that the Company file a registration statement under the Securities Act covering the registration of at least twenty percent (20%) of the outstanding Eligible Registrable Securities (as defined below) pursuant to this Section, and if such Shares have not been heretofore registered pursuant to Section 6.1 hereof, then the Company shall within thirty (30) days after the receipt of such Demand Request, file a registration statement under the Securities Act with respect to the Eligible Registrable Securities that the Holder has requested to be registered and included in such registration and use its reasonable best efforts to effect the registration as soon as practicable thereafter and to maintain the effectiveness of such registration until the earlier of (i) the date all the Holder's Registrable Securities have been sold , (ii) the date the Holder's Registrable Securities are eligible for resale by Holder pursuant to Rule 144(k) or (iii) the third anniversary of the effectiveness of the registration statement, subject only to the limitations of this Section. The term "Eligible Registrable Securities" means any Registrable Securities held by Holder that were issued pursuant to the exercise of this Warrant at least twelve (12) months, but not more than twenty-four (24) months, before the date of the Demand Request.

Request by Holder. The Company shall notify all Holders of Registrable Securities in writing at least 30 days prior to filing any registration statement under the Securities Act for purposes of effecting a public offering of securities of the Company (including, but not limited to, registration statements relating to secondary offerings of securities of the Company, but excluding registration statements relating to any registration under Section 2.2 or Section 2.4 of this Agreement, registration statements relating to employee benefit plans, and registration statements relating to a corporate reorganization or other transaction covered by Rule 145 promulgated under the Securities Act) and will afford each such Holder an opportunity to include in such registration statement all or any part of the Registrable Securities then held by such Holder. Each Holder desiring to include in any such registration statement all or any part of the Registrable Securities held by such Holder shall, within 20 days after receipt of the above-described notice from the Company, so notify the Company in writing, and in such notice shall inform the Company of the number of Registrable Securities such Holder wishes to include in such registration statement. If a Holder decides not to include all of its Registrable Securities in any registration statement thereafter filed by the Company, such Holder shall nevertheless continue to have the right to include any Registrable Securities in any subsequent registration statement or registration statements as may be filed by the Company with respect to offerings of its securities, all upon the terms and conditions set forth herein.

  • Request for Transfer Unless the paraeducator and both principals agree, no transfers shall be allowed during a period spanning from 14 calendar days before the first contract work day until after the 20th contract work day. A transfer will not be considered unless the paraeducator is qualified for such vacancy. All transfers shall be initiated by the receiving principal, with copies to the releasing principal or immediate supervisor and the Human Resource Services office.
