The Company will promptly notify the Investors of receipt of any Demand Notice, in which case each Investor shall be permitted to participate in such Registration by submitting its own Demand Notice within 5 business days.
Upon receipt of a Demand Notice, the Company shall, as promptly as reasonably practicable, but in no event later than 30 days after receipt of the Demand Notice, file a Registration Statement covering the resale of the Registrable Securities specified in the Demand Notice and shall use its reasonable best efforts to cause such Registration Statement to be declared effective by the SEC as promptly as practicable thereafter.
Each Demand Notice shall specify the number of Registrable Securities to be registered.
The Company shall not be obligated to effect more than two (2) Registrations requested pursuant to a Demand Notice from each Investor; provided, however, if less than all of the Registrable Securities requested to be Registered pursuant to such a Demand Notice are not Registered, neither such a Demand Notice nor this Section 3.1(a) shall be satisfied, and such Demand Notice shall not count towards any Investors’ two (2) allotted Demand Notices.
