Initiating Holders definition

Initiating Holders means, collectively, Holders who properly initiate a registration request under this Agreement.
Initiating Holders means any Holder or Holders who in the aggregate hold not less than fifty percent (50%) of the outstanding Registrable Securities.
Initiating Holders means, with respect to a request duly made under Section 2.1 or Section 2.2 to Register any Registrable Securities, the Holders initiating such request.

Examples of Initiating Holders in a sentence

  • The underwriter(s) will be selected by the Company, subject only to the reasonable approval of the holders of a majority of Registrable Securities held by the Initiating Holders.

  • If, pursuant to Section 3.1, the Initiating Holders intend to distribute the Registrable Securities covered by their request by means of an underwriting, they shall so advise the Company as a part of their request made pursuant to Section 3.1, and the Company shall include such information in the Demand Notice.

  • The underwriter(s) will be selected by the Company and shall be reasonably acceptable to a majority in interest of the Initiating Holders.
