OPERATING MANAGEMENT. Mr. Xxxxxxx Xxxxxx or his designate shall act as project manager overseeing the development of the Protect a Pal product and any related ventures. IMLF will provide technical and managerial assistance and monitor project development on a regular basis. Xxxxxx will provide operating budgets, work plans, and regular progress reports. Xxxxxx shall be the sole judge of how to conduct the development and production of Glacier's products. Glacier may choose to conduct its marketing in a different fashion than that contemplated by IMLF in Canada. However, IMLF reserves are right to "piggyback" any marketing arrangements made by Glacier Medical with international sales and distribution companies specializing in the medical field for its exclusive use in the Canadian market. A management committee shall be formed consisting of one representative from Glacier Medical and one representative from IMLF. The management committee shall be responsible for policy decisions that effect product development or production and shall approve all work plans and budgets submitted by the operator. So far as possible, all disputes for differences within the management committee shall be settled by discussion and mutual agreement. Failing such, each party's representative shall vote that party's percentage interest, a majority interest prevailing.

OPERATING MANAGEMENT. The Board of Directors of the Joint Venture shall nominate, select and appoint a Chief Executive Officer for the Joint Venture. The Chief Executive Officer shall be responsible for the day-to-day operation of the Joint Venture. The Board of Directors shall also appoint a CFO and such other officers as it deems appropriate. The Board of Directors shall determine the structure of the management of the Joint Venture and responsibilities given to the officers.   • Construction Management Landlord or its Affiliate or agent shall supervise the Work, make disbursements required to be made to the contractor, and act as a liaison between the contractor and Tenant and coordinate the relationship between the Work, the Building and the Building’s Systems. In consideration for Landlord’s construction supervision services, Tenant shall pay to Landlord a construction supervision fee equal to three percent (3%) of Tenant’s Costs specified in Section 7.

  • Property Management Borrower will provide for professional management of the Mortgaged Property by the Property Manager at all times under a property management agreement approved by Lender in writing. Borrower will not surrender, terminate, cancel, modify, renew or extend its property management agreement, or enter into any other agreement relating to the management or operation of the Mortgaged Property with Property Manager or any other Person, or consent to the assignment by the Property Manager of its interest under such property management agreement, in each case without the consent of Lender, which consent will not be unreasonably withheld.
