NOTICE OF PAYMENTS. THE Trustee shall give notice to the relevant Noteholders in accordance with Condition 14 of the day fixed for any payment to them under Clause 10. Such payment may be made in accordance with Condition 6 and any payment so made shall be a good discharge to the Trustee.
NOTICE OF PAYMENTS. The Borrower shall give the Agent at least three (3) Business Days' prior written notice of each prepayment proposed to be made by it pursuant to Section 4.2, specifying the principal amount of the Loans to be prepaid, the prepayment date and the account of the Borrower to be charged if such prepayment is to be so effected. Notice of such prepayment having been given, the principal amount of the Loans specified in such notice, together with interest thereon to the date of prepayment, shall become due and payable on such prepayment date. If the Borrower pays or prepays any Eurodollar Loan prior to the end of the Interest Period applicable thereto, such payment shall be subject to Section 3.7.
NOTICE OF PAYMENTS. Not later than 10 Business Days prior to each date on which payments are due to be paid by an Obligor to the Lenders in accordance with the provisions of this Agreement the Agent shall notify the respective Obligor of such amounts provided that failure to give such notice shall not relieve an Obligor of its obligation to make payments of such amounts when due. For the avoidance of doubt, this Clause 31.9 shall not apply to the payment of the OeKB Administration Fee.
NOTICE OF PAYMENTS. Borrower shall give Lender at least three (3) Business Days' prior written notice of each prepayment with respect to any LIBOR Rate Portion proposed to be made by Borrower pursuant to Section 4.2 on a day other than the last day of the Rate Period for such LIBOR Rate Portion, specifying the principal amount thereof to be prepaid, the prepayment date and the account of Borrower to be charged if such prepayment is to be so effected. Notice of such prepayment having been given, the principal amount of the Loan specified in such notice, together with interest thereon to the date of prepayment, shall become due and payable on such prepayment date. If Borrower pays or prepays any LIBOR Rate Portion prior to the end of the Rate Period applicable thereto, such payment shall be subject to Section 3.2(b).
NOTICE OF PAYMENTS. Administrative Borrower shall provide written notice to the Administrative Agent of any payments made pursuant to Section 2.05(c) by at least 12:00 p.m. one Business Day prior to the proposed prepayment date, which notice shall state pursuant to which paragraph of Section 2.05(c) the prepayment is being made and contain a reasonable calculation thereof; provided that no failure to delivery such notice and/or calculation shall constitute a Default or Event of Default to the extent the subject payment is timely made.
NOTICE OF PAYMENTS. Administrative Loan Party shall provide written notice of any payments made pursuant to Section 2.03(c) by at least 12:00 p.m. two Business Days prior to the proposed prepayment date, which notice shall state pursuant to which paragraph of Section 2.03(c) the prepayment is being made.
NOTICE OF PAYMENTS under the VP Letters of Credit. The Issuing Bank shall give the Borrower, the Administrative Agent, the Security Agent and each Bank prompt cable or tested telex notice of each demand for a VP Letter of Credit Disbursement received by the Issuing Bank, specifying (i) the amount of such VP Letter of Credit Disbursement, (ii) the date such VP Letter of Credit Disbursement is to be made and (iii) such Bank's pro rata share of the amount of such VP Letter of Credit Disbursement based on its Commitment Percentage.
NOTICE OF PAYMENTS. The Trustee shall give notice to the relevant Holders in accordance with Condition 14 of the Senior Notes and Condition 21 of the Tier 2 Notes, as the case may be, of the day fixed for any payment to them under Clause 10. Such payment may be made in accordance with Condition 6 of the Senior Notes and Condition 13 of the Tier 2 Notes, as the case may be, and any payment so made shall be a good discharge to the Trustee.
