With respect to each Subject Payment, the Company will pay the Gross-Up Payment to Executive not later than ten (10) business days after the Consultant has rendered its related Final Statement.
Not later than thirty (30) days following receipt by the Consultant of notice from Executive that a payment believed by Executive to be a Subject Payment has been made or at such earlier time as may be requested by the Company, the Consultant shall deliver to Executive and the Company a preliminary statement (each such statement, a "Preliminary Statement") containing a computation of the Gross-Up Payment, if any, payable to Executive with respect thereto, together with supporting work papers.
