Manufacture and Supply Agreement. This MANUFACTURE AND SUPPLY AGREEMENT (the “Agreement”) is made as of August 18, 2017 (the “Effective Date”) by and among, on the one hand, OptiNose US, Inc., duly organized and existing under the laws of Delaware and having offices located at 0000 Xxxxx Xxxx Xxxx, Xxxxx 000, Xxxxxxx, XX 00000 (referred to herein as “OptiNose US”), OptiNose UK Ltd. duly organized and existing under the laws of England and having offices located at Hunts Rise, South Xxxxxxx Park, Wiltshire, SN3 4TG, England (referred to herein as “OptiNose UK”), and OptiNose AS, duly organized and existing under the laws of Norway and having offices located at Xxxxxxxxxxxxx 00 0000 Xxxx, Xxxxxx (referred to herein as “OptiNose Norway”, and collectively with OptiNose US and OptiNose UK, “OptiNose”), and, on the other hand, Contract Pharmaceuticals Limited Canada, duly organized under the laws of the Province of Ontario and having offices located at 0000 Xxxxxx Xxxxxxxx, Xxxxxxxxxxx, Xxxxxxx Xxxxxx X0X 0X0 (referred to herein as “CPL”). OptiNose and CPL are each a “Party” and together constitute the “Parties” under this Agreement.
Manufacture and Supply Agreement. THIS MANUFACTURE AND SUPPLY AGREEMENT is entered into this 30th day of November 2009, by and between Reliable Biopharmaceutical Corporation, a corporation organized under the laws of the State of Missouri, with its principal offices located at 0000 Xxxxxx Xxxx, St. Louis, Missouri 63114 ("RELIABLE") and Neoprobe Corporation, a corporation organized under the laws of the State of Delaware, with offices located at 000 Xxxxx Xxxxx Xxxxx, Xxxxx 000, Xxxxxx, Xxxx 00000-0000 ("NEOPROBE").
Manufacture and Supply Agreement. This Manufacture and Supply Agreement (this “Agreement”), effective as of October 15, 2018 (the “Effective Date”), is by and between HYPERFINE RESEARCH, INC., a Delaware corporation having a place of business at 000 Xxx Xxxxxxxxx Xxxxxx, Guilford, Connecticut 06437, for itself and its Affiliates (“Hyperfine”), and BENCHMARK ELECTRONICS, INC., a corporation organized under the laws of the State of Texas USA having a place of business at 000 Xxxxxxxxxx Xxx, Xxxxxx, XX 00000 (“Manufacturer”). Hyperfine and Manufacturer may be referred to individually as a “Party” and collectively as the “Parties.”
Manufacture and Supply Agreement. The parties agree to negotiate in good faith, at the request of the Buyer, a Manufacture and Supply Agreement pursuant to which Seller shall, for a mutually agreed upon period of time, if the Seller is able, manufacture Products for the Buyer.
Manufacture and Supply Agreement. Upon the terms and subject to the conditions stated herein, at the Closing, Seller and Buyer shall execute and deliver a manufacture and supply agreement substantially in the form attached hereto as Exhibit N (the “Manufacture and Supply Agreement”).

Manufacture and Supply Agreement. Within thirty (30) days after the Closing Date, Buyer and Parent shall enter into a mutually agreeable Manufacture and Supply Agreement with respect to the contract manufacturing by Buyer for Parent of the TRAx Products set forth on SCHEDULE 3.21-2.
Manufacture and Supply Agreement. Following the Effective Date and within ninety (90) days thereof, Jagotec and Kos (or an Affiliate of Kos) shall negotiate in good faith and shall enter into a Manufacture and Supply Agreement (the “Supply Agreement”) which shall reflect, among other things, the terms outlined in Schedule 4.7 for the supply of Existing Products by (or on behalf of) Jagotec for use in the Development Program and for commercialization of the Existing Product.
Manufacture and Supply Agreement. Within six (6) months following the Effective Date, the Parties shall negotiate in good faith a separate agreement that sets forth reasonable and customary terms and conditions for (i) the manufacturing and supply of the Products by Bellerophon for Baylor’s clinical use, and (ii) the manufacturing and supply of the Products by Baylor to Bellerophon for Bellerophon’s commercial use. The transfer price paid by each Party to the other Party for Products will be calculated as the manufacturing Party’s Cost of Goods of the Products plus 20% (the “Manufacture and Supply Agreement”). The Manufacture and Supply Agreement shall set forth reasonable and customary terms and conditions regarding the quality of the Products supplied to the buying Party, including (a) quality assurance and quality control (and an accompanying Quality Agreement); (b) compliance with any Applicable Laws and standards; and (c) reporting and management of quality defects and quality complaints.
Manufacture and Supply Agreement. 5.4.1. The Parties, each acting reasonably and in good faith, after the Effective Date and on instruction from ESC, will negotiate and execute a Manufacture and Supply Agreement on terms and conditions consistent with those set forth in Exhibit C (or as otherwise mutually agreed), pursuant to which POINT will Manufacture or have Manufactured, and LANTHEUS and its Affiliates and, as applicable, LANTHEUS Sublicensees in the U.S. will purchase from POINT, Supplies of Licensed Product in the United States. The Parties, each acting reasonably and in good faith, will negotiate and will endeavor within ninety (90) days after the date of the First Pre-NDA Filing Meeting to finalize and execute a Technical and Quality Agreement, which will be appended to, and incorporated by reference into, the Manufacture and Supply Agreement and which will specify certain quality assurance and quality control requirements relating to the Manufacture of Licensed Product (as such agreement may be amended, modified, supplemented, renewed and/or superseded from time to time in accordance with its terms, the “Technical and Quality Agreement”).
