Further Approvals. Upon the Effective Date of this Agreement, Developer may develop the Land consistent with this Agreement. Any future approvals granted in writing by the City for such development will become a part of the Project Approvals.
Further Approvals. The Company agrees that, if and to the extent that any further approvals or filings are required to complete this Offering or issue any of the Securities, it will take all steps necessary to make such filings or obtain such approvals immediately upon notice thereof.

The Seller Parties shall not make any agreement or reach any understanding as a condition for obtaining any consent, authorization, approval, order, license, certificate, or permit required for the consummation of the transactions contemplated by this Agreement without first obtaining the approval of the REIT.

In connection with the exercise by the Agent on behalf of the Secured Parties of its rights hereunder, it may be necessary to obtain the prior consent or approval of Governmental Authorities and other persons to a transfer or assignment of Collateral. Each Pledgor hereby agrees, during the continuance of an Event of Default, to execute, deliver and file, and hereby appoints (to the extent permitted under applicable law) the Agent on behalf of the Secured Parties as its attorney, during the continuance of an Event of Default, to execute, deliver and file on each Pledgor's behalf and in each Pledgor's name, all applications, certificates, filings, instruments and other documents (including any application for an assignment or transfer of control or ownership) that may be necessary or appropriate, in the opinion of Agent's counsel, to obtain such consents, waivers or approvals. Each Pledgor further agrees to use commercially reasonable efforts to obtain the foregoing consents, waivers and approvals, including receipt of consents, waivers and approvals under applicable agreements, prior to a Default or Event of Default. Each Pledgor acknowledges that there is no adequate remedy at law for failure by it to comply with the provisions of this Section 4.16 and that such failure would not be adequately compensable in damages, and therefore agrees that this Section 4.16 may be specifically enforced.
Further Approvals. The Company covenants and agrees that, if in respect of any of the adjustments contemplated by this Section 4, any supplemental consent of the Bermuda Monetary Authority is required for the issuance of additional Warrants and the issuance of additional Warrant Shares pursuant to the exercise of this Warrant, the Company will use its best efforts to apply for and obtain the relevant Bermuda Monetary Authority consents in a timely manner.
Further Approvals. In the event that further approvals or reviews are necessary for Client to xxxxxx Xxxxxx’x Design for commission, Artist, as part of this Agreement and for no further compensation except for Reimbursable Expenses, shall prepare the necessary materials for and be available to personally present the same to the appropriate body/bodies for approval to proceed with the commission of the Artwork. Client will give Artist no fewer than days notice of the scope of materials needed and time and location of the meeting.
Further Approvals. In the event the transfer of any Additional Shares at any Additional Closing (as contemplated under this Agreement) requires any approval/s from any governmental authority, the Purchaser hereby confirms and agrees that obtaining such approval/s shall be the sole responsibility and liability of the Purchaser. Seller shall provide reasonable co-operation in this regard to the extent of providing any information / document that is required from the Seller by such governmental authority.

Further Approvals. The parties hereto agree to execute and deliver such instruments and to take such other actions as the other party may reasonably require in order to carry out the intent of the Agreement. Seller agrees to give such bills of sale, deeds, acknowledgements and other instruments of conveyance and transfer as shall be necessary and appropriate to convey to Purchaser all of Seller's right, title and interest in and to the Assets, Outstanding Loans and to any collateral to be transferred and the liens in connection therewith. Purchaser shall be responsible for the costs of all title examinations, titling fees, surveys, attorneys'fees and expenses (excluding those of Seller's counsel), recording costs, transfer fees and other expenses in connection the transfer of with the Assets and Outstanding Loans. Seller shall be responsible for the costs of all title examinations, titling fees, surveys, attorneys'fees and expenses (excluding those of Purchaser's counsel), recording costs, transfer fees, and other expenses in connection with the transfer of the Purchaser Real Property.
Further Approvals. Each party to this Agreement shall execute and deliver such instruments, documents and other written information and take such other actions as the other party may reasonably require in order to carry out the intent of this Agreement.
