Approval of Governmental Authorities. The Design Professional shall assist the Owner in filing any required documents for the approval of governmental authorities having jurisdiction over the Project, when applicable.
Approval of Governmental Authorities. All regulatory approvals required to consummate the transactions contemplated hereby were obtained and remain in full force and effect, and all applicable statutory waiting periods expired (all such approvals and the expiration of all such waiting periods being referred to herein as the "Requisite Regulatory Approvals").

No court or governmental authority shall have issued, any order, writ, injunction or decree prohibiting the Purchaser from consummating the transactions contemplated hereby or shall have commenced or threatened any lawsuit concerning such transactions or indicated its opposition to such transactions.

Approval of Governmental Authorities. Notwithstanding anything to the contrary contained in this Pledge Agreement, Secured Party will not take any action pursuant to this Pledge Agreement or any of the documents executed pursuant hereto which would constitute an assignment of an Authorization or any transfer of control of an Authorization if such assignment of license or transfer of control would require under then-existing Law (including the written rules and regulations promulgated by any Governmental Authority) the prior approval of the Governmental Authority issuing such Authorization, without first obtaining such approval. Debtor agrees to take, or cause to be taken, any action which Secured Party may reasonably request in order to obtain and enjoy the full Rights and benefits granted to Secured Party by this Pledge Agreement and any other instruments or agreements executed pursuant hereto, including, without limitation, at Debtor's cost and expense, the exercise of its best efforts to cooperate in obtaining Governmental Authority approval of any action or transaction contemplated by this Pledge Agreement or any other instrument or agreement executed pursuant hereto which is then required by Law.
Approval of Governmental Authorities. The approvals, relief, orders, notices, applications, consents and authorizations referred to in Section 2.2 in relation to the purchase and sale of the Transferred Assets that are required to be made, given or obtained prior to the Closing of the purchase and sale of the Transferred Assets shall have been made, given or obtained, except for such approvals, relief, orders, notices, applications, consents or authorizations the failure to make, give or obtain which would not have a Material Adverse Effect;
Approval of Governmental Authorities. The approval by the appropriate federal and/or state regulatory authorities shall have been obtained and all applicable waiting periods shall have expired or otherwise been terminated. Such approvals, the termination of operations conducted by the Company at the Branch and the transactions contemplated hereby shall not then be objected to or contested by the appropriate regulatory authority.
Approval of Governmental Authorities. All governmental approvals necessary or advisable in the opinion of KNE's counsel to consummate the transactions contemplated by this Agreement shall have been received and shall not contain any provision which, in the judgment of KNE, is unduly burdensome.
Approval of Governmental Authorities.
