Necessary Action means, with respect to a specified result, all actions (to the extent such actions are permitted by applicable law and, in the case of any action by the Company that requires a vote or other action on the part of the Board, to the extent such action is consistent with the fiduciary duties that the Company’s directors may have in such capacity) necessary to cause such result, including (i) voting or providing a written consent or proxy with respect to shares of Common Stock, (ii) causing the adoption of stockholders’ resolutions and amendments to the organizational documents of the Company, (iii) executing agreements and instruments and (iv) making or causing to be made, with governmental, administrative or regulatory authorities, all filings, registrations or similar actions that are required to achieve such result.
Age appropriate means of the right size, child sized, or adapted so that a child can use safely, and suitable to the chronological age range and developmental characteristics of a specific age group of children or child. This means the materials/equipment should interest and challenge children in terms of their age and abilities. Any materials/equipment with a specified age range by the manufacturer must be followed when being used by children.
Necessary Authorizations means all material authorizations, consents, permits, approvals, licenses, and exemptions from, and all filings and registrations with, and all reports to, any Governmental Authority whether federal, state, local, and all agencies thereof, which are required for the transactions contemplated by the Loan Documents and the conduct of the businesses and the ownership (or lease) of the properties and assets of the Borrower Parties.
Necessary means the applicant must show that, but for the accommodation, one or more persons with a disability likely will be denied an equal opportunity to enjoy housing of their choice.
Authorizations means all licenses, permits and approvals required by any governmental or quasi-governmental agency, body or officer for the ownership, operation and use of the Property or any part thereof.
Appropriate means the treatment's timing and setting are proper and cost effective. Medical treatments which are not proven, effective and appropriate are not covered by the Plan.
Necessary preconstruction approvals or permits means those permits or approvals required under federal air quality control laws and regulations and those air quality control laws and regulations which are part of the applicable State Implementation Plan.
Best Efforts means the efforts that a prudent Person desirous of achieving a result would use in similar circumstances to ensure that such result is achieved as expeditiously as possible.
Governmental Approvals means all authorizations, consents, approvals, licenses and exemptions of, registrations and filings with, and reports to, all Governmental Authorities.
Reactive Power or “Mvar” means the product of voltage and current and the sine of the phase angle between them measured in units of volt-amperes reactive and standard multiples thereof;
Reasonable Efforts means, with respect to an action required to be attempted or taken by a Party under this Agreement, efforts that are timely and consistent with Good Utility Practice and are otherwise substantially equivalent to those a Party would use to protect its own interests.
Necessary Claims means claims of a patent or patent applications, other than design patents and design registrations, that are: (i) owned or controlled by a Member or Participant or their Affiliates now or at any future time; and (ii) necessarily infringed by an implementation of the portions of a Final Recommendation within the bounds of the Scope, where such infringement could not have been avoided by another technically reasonable non-infringing alternative for implementing a Final Recommendation within the bounds of the Scope. Notwithstanding the foregoing, “Necessary Claims” does not include any claims: (w) that read solely on an optional implementation example included in a Final Recommendation;(x) other than those set forth above, even if contained in the same patent as Necessary Claims; (y) that read solely on any implementations of any portion of a Final Recommendation that are not within the bounds of the Scope; or (z) that, if licensed, would require a payment of royalties by the licensor to non- Affiliate third parties.
Necessary Consents means all planning permissions and all other consents, licences, permissions, certificates, authorisations and approvals whether of a public or private nature which shall be required by any Competent Authority for the Permitted Use.
Reasonable Steps means having in place strategies to minimise and manage risks of exposure to inappropriate or harmful on-line content by users of computers, particularly Children, and may include, but is not limited to, having a policy in place regarding appropriate use and protection for Clients, installation of filters, audits and provision of information or training to the Provider’s staff regarding the risks of, and protection from, inappropriate or harmful on-line content.
Infirm Power means electricity injected into the grid prior to the commercial operation of a unit or block of the generating station;
Reasonable pupil means a pupil, including, but not limited to, an exceptional needs pupil, who exercises average care, skill, and judgment in conduct for a person of his or her age, or for a person of his or her age with his or her exceptional needs.
Reasonable Best Efforts means best efforts, to the extent commercially reasonable.
Gaming Approvals means all licenses, permits, approvals, authorizations, registrations, findings of suitability, franchises, entitlements, waivers and exemptions issued by any Gaming Authority necessary for or relating to the conduct of activities by any party hereto or any of its Affiliates, including the ownership, operation, management and development of the Property.
Governmental Authorizations means all franchises, permits, licenses, approvals, consents and other authorizations of all Authorities.
Governmental Entities means, collectively, all United States and other governmental, regulatory or judicial authorities.
Reasonable suspicion means a basis for forming a belief based on specific facts and rational inferences drawn from those facts.
Permits means all permits, licenses, franchises, approvals, authorizations, registrations, certificates, variances and similar rights obtained, or required to be obtained, from Governmental Authorities.
relevant highway authority means in any provision of this Order the highway authority for any area of land to which that provision relates;
Environmental Approvals means any permit, license, approval, ruling, variance, exemption or other authorization required under applicable Environmental Laws.

Licenses means all licenses, permits, certificates of authority, authorizations, approvals, registrations, franchises and similar consents granted or issued by any Governmental or Regulatory Authority.
