Error Correction; Enhancements; New Products and New Services. In the event that FESCO, Customer(s) or End Users advise WebMD that the Tools contain material defects or material errors, or WebMD otherwise becomes aware that the Tools contain such defects or errors, WebMD shall promptly, and in accordance with Schedule H hereto correct such errors. At least ninety (90) days prior to each planned introduction of New Products and New Services, but in any event no less than two (2) times per year, a WebMD senior executive will meet with FESCO to discuss New Products or New Services that WebMD plans to provide to its customers. FESCO, at its option, shall be entitled to add any such New Products and New Services to those products and services included on Schedule B hereto, at a price to be determined by the Parties, subject to themost favored nations” provisions of Section 3B hereto. In addition, at least ninety (90) days prior to implementation of any Enhancements by WebMD, WebMD will provide a high level description of the Enhancements to FESCO. At least thirty (30) days prior to implementation of any Enhancements, or the introduction of any New Products or New Services, by WebMD, WebMD shall provide FESCO with (i) a detailed description of and specifications for such Enhancements or New Products or New Services, and (ii) in-person, or via webcast, FESCO-only training sessions at which the changes associated with the Enhancements, or the New Products or New Services, will be introduced and explained in detail to FESCO associates. In addition, WebMD shall have the right to automatically implement Enhancements, so long as such implementation is in accordance with the provisions described in Schedule H hereto. Without limiting FESCO’s rights under the first sentence of Section 2N, in the event that FESCO desires to obtain from an outside vendor a new product, service or feature which is related to the Tools, but is not already being provided by WebMD, FESCO will first offer WebMD the opportunity to provide FESCO with a proposal for provision of such product, service or feature. In the event that, within sixty (60) days of FESCO’s submission of a request for a proposal from WebMD, the parties have not reached agreement with respect to pricing, delivery time frames, or any other material terms and conditions related to the new product, service or feature, FESCO shall be free to obtain such product, service or feature from a third party vendor whose proposed terms and conditions for such product, service or feature are more ...

  • Product Changes IDSI reserves the right to make design and other modifications in the Equipment at any time but shall not be obligated to implement such modifications in Equipment that has previously been delivered.

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection. When requested by Company, and subject to appropriate fee and cost adjustments, Jabil will provide Additional Services for existing or future Product manufactured by Jabil.   • Third Party Software Customer acknowledges that in order for MyEcheck to perform the Consulting Services, Customer may need to obtain additional third party services ("Third Party Services") or third party technology ("Third Party Technology"). Customer agrees that the rights and licenses with respect to Third Party Technology and Third Party Services shall be under terms set forth in the pertinent purchase, license or services agreements between Customer and the vendors of such Third Party Software or Third Party Services. Customer shall execute and comply with appropriate purchase, license, or services agreements with respect to any Third Party Software or Third Party Services. Any amounts payable to third party vendors or service providers under such agreements are the sole responsibility of Customer and shall be paid directly by Customer to such third party vendors or service providers.   • Maintenance and Support Services Distributor shall provide Maintenance and Support Services to all of its Customers of Licensed Software as set forth in Sections 3.4(a) and 3.4(b) below. Distributor may require Customers to provide the own First-Line Support: however, in no event shall Siebel be responsible for First-Line or Second-Line Support. Subject to Distributor's payment of the Maintenance Fees set forth in EXHIBIT A Siebel shall provide Third-Line Support to Distributor in accordance with Siebel's then current Maintenance and Support Services Policy. Distributor shall be responsible for all support related to the Value Added Offering.

  • Additional Products Throughout the Term, Rockwell shall provide to DaVita and the DaVita Facilities the right to purchase and/or lease all current or new products manufactured, utilized, licensed, sold or distributed by Rockwell or any of its Affiliates (including products and product lines acquired by Rockwell or any of its Affiliates as a result of an acquisition, merger or other transaction involving Rockwell or any of its Affiliates) that are or that become Commercially Available and which are not already covered by this Agreement or by any other agreement, whether written or oral, between the parties hereto (such products are collectively referred to as “Additional Products” and individually as an “Additional Product”). Rockwell agrees to include DaVita in all of its and its Affiliates distributions of customer announcements regarding Rockwell’s or its Affiliates’ Additional Products. The purchase price for any such Additional Products shall be negotiated by the parties hereto in good faith and the agreed upon purchase price shall be memorialized in writing as a supplement or amendment to this Agreement. Rockwell covenants and agrees that it shall only make an offer for the sale of any Additional Product(s) to DaVita’s Vice-President of Clinical Operations, Chief Medical Officer, or Vice-President of Purchasing, and not to any DaVita Facility directly; provided that the purchase of any Additional Product by DaVita or any DaVita Facility through a Rockwell product catalog made generally available to the dialysis community shall not be a breach by Rockwell of this Section 8.1. If Rockwell or any of its Affiliates acquires any Additional Product(s) as a result of an acquisition, merger or other transaction involving Rockwell or any of its Affiliates with a Person with which DaVita or a DaVita Facility, as applicable, already has a purchase or rebate arrangement whether written or oral (a “Prior Agreement”), Rockwell or such Affiliate covenants and agrees that it shall continue to abide by all of the terms and conditions of such Prior Agreement or if DaVita requests, such Additional Product(s) shall be included in this Agreement on terms to be negotiated and determined by the parties hereto as provided in this Section 8.1.
