ELIGIBILITY AND AUTHORITY. The Telemedicine Portal and the services accessed through the Telemedicine Portal are available only to users who can form legally binding contracts under applicable law. By using the Telemedicine Portal, you represent and warrant that you are (i) at least eighteen (18) years of age and/or (ii) otherwise recognized as being able to form legally binding contracts under applicable law. The practice of medicine is based upon the physical location of the patient, and the doctor must be licensed to practice in that state. You hereby certify that you are currently located within the State where your provider’s office is located. If you are not physically within this State during the time of the telemedicine visit, you are not eligible for telemedicine services, unless your provider is also licensed to practice medicine in the State you are in at the time of the visit. You acknowledge that this service may not be covered by Medicare or Medicaid if you are not at a hospital or other medical facility. It may also not be covered by Medicare if you are not outside of a metropolitan statistical area. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, YOU SHOULD DIAL "911" IMMEDIATELY. ELIGIBILITY AND AUTHORITY. 1. This Site and the Services found at this Site are available only to users who can form legally binding contracts under applicable law. If you are a School providing the Service to children under 13, you represent and warrant that you have the authority to provide consent on behalf of parents or have received appropriate consent for IXL to collect and use information from students under 13 before allowing such students to access our Service. Use of the Services is conditioned upon Schools obtaining the proper parental and student consent, where necessary, for Schools to collect Student Data and to subsequently share that data with IXL for IXL's use. IXL assumes no responsibility for failure to obtain proper and necessary consent. Therefore, we recommend that all Schools provide appropriate disclosures to students and parents and obtain appropriate consent regarding their use of service providers such as IXL and that they provide a copy of our Privacy Policy and the IXL Learning Student Data Privacy Pledge to parents.
ELIGIBILITY AND AUTHORITY. Only persons who are Directors shall be eligible to be appointed to the positions of Chairman or Vice-Chairman. The authority of the Chairman and the Vice-Chairman shall be subject to the authority of the Board of Directors.

  • Capacity and Authority The Transferee has the capacity and authority necessary to execute and deliver this Agreement and perform its obligations hereunder.

  • Authority and Authorization Each of the Consultants has full power and authority to enter into this Plan and carry out the obligations hereunder. Execution of this Plan and performance by the Consultants hereunder constitutes a valid and binding obligation of the Consultants and performance hereunder will not violate any other agreement to which any of the Consultants is a party.

  • Organization, Qualification and Authority Advanced is a corporation duly organized, validly existing and in good standing in the State of Delaware, and is not required to be qualified to do business as a foreign corporation in any other jurisdiction. Advanced does not own stock or equity interests in and does not control, directly or indirectly, any corporation, partnership, joint venture, association or business organization other than those entities listed on Exhibit 3.1 (collectively, the "Advanced Subsidiaries"). Except as set forth on Exhibit 3.1, all outstanding shares of capital stock of the entities listed on Exhibit 3.1 are owned by Advanced, free and clear of all liens, charges, encumbrances, claims and options of any nature. Each Advanced Subsidiary is a corporation duly organized, validly existing, in good standing and duly qualified as a foreign corporation in the respective jurisdictions set forth in Exhibit 3.1 attached hereto. Subject to obtaining certain third party consents, the execution, delivery and consummation of this Agreement and all other agreements and documents executed in connection herewith by Advanced have been duly authorized by all necessary corporate action on the part of Advanced and no other action on the part of Advanced or any other person or entity is necessary to authorize the execution, delivery and consummation of this Agreement and all other documents and agreements executed in connection herewith. This Agreement and all other agreements and documents executed in connection herewith by Advanced, upon due execution and delivery thereof, will constitute the valid and binding obligations of Advanced, enforceable in accordance with their respective terms, except as enforcement may be limited by bankruptcy, insolvency, reorganization or similar laws affecting creditors' rights generally and by general principles of equity.

  • Authorization and Authority 8.1 Each person whose signature appears on this Agreement represents and warrants that he or she has authority to bind the Party on whose behalf he or she has executed this Agreement.
