Use of Service Providers. The Bank may use from time to time a third-party service provider to facilitate its compliance with the RTP Rules and/or for the submissions of RTP Payments and Payment Instructions. Therefore, the Bank may require you to contract directly with an approved third-party service provider to receive the full benefit of RTP Payments. If you do not wish to contract with such service provider, then your RTP services may be limited or restricted. The approved service providers are subject to change, and you will be notified by the Bank prior to any change.
Use of Service Providers. Each Party may perform any of its obligations under the Development Plan through Third Party service providers such as contract research organizations, contract manufacturing organizations, consultants or other independent contractors (each a “Service Provider”). The Party engaging a Service Provider will be responsible for conducting such qualification audits as may be required under GxP regulations prior to the engagement of such Service Provider. Each Party will inform the other Party of the identity of, and the nature of services provided by the Service Providers used by such Party. The Party using a Service Provider will remain responsible to the other Party for the work performed by the Service Provider. Each Party will ensure that such Service Providers are bound in writing by obligations of confidentiality and non-use regarding Confidential Information that are substantially the same as or more stringent than those undertaken by the Parties pursuant to Section 10 hereof and, the provisions on intellectual property ownership hereunder and that the agreement with such Service Providers contains customary terms providing for the assignment to such Party of all intellectual property developed in the course of performing the services for such Party.
Use of Service Providers. We are entitled to use such agents, contractors, service providers, networks, and other third parties as we may deem appropriate in providing the Services.
Use of Service Providers. If you use a service provider in connection with developing, producing or offering the Production Application to End Users, you will be responsible for ensuring they comply with these Terms and will indemnify and hold us harmless for their breach of these Terms.
Use of Service Providers. The Sub-Adviser may employ third party agents to perform any administrative or ancillary services, including security and cash reconciliation, portfolio pricing and corporate action processing, in order to enable Sub-Adviser to perform the services under this Agreement. Sub-Adviser will act in good faith and with the reasonable skill and care of an investment adviser fiduciary in the selection, use and monitoring of agents.
Use of Service Providers. The Manager shall be permitted on behalf of the Company and at the Company’s expense to engage the services of one or more asset managers or other service providers to prepare and maintain the Company’s books and records required to be prepared and maintained hereunder, to oversee and supervise the preparation and distribution of the reports required to be prepared and distributed hereunder, and to oversee and supervise the preparation and filing by the Company’s accountants of the tax returns required to be prepared and filed hereunder. Any such service provider may be hired on such terms as the Manager considers advisable, and may be an Affiliate of the Manager or any Member provided that the terms of such engagement are substantially comparable to those generally available from non-related service providers for the same services.
Use of Service Providers. The Company may delegate any of the services set forth on Schedule A to a third-party service provider and/or an investment manager of a Fund, provided that, the Company provides prior notice to the Board of such delegation.

The Manager may, at any time and from time to time, retain, employ or appoint one or more employees, agents, assistants or advisors of the Manager to perform such functions and to provide such services in connection with this Agreement as the Manager determines. The Manager also may, at any time and from time to time, delegate to one or more sub-distributors responsibility and authority to perform such functions and to provide such services under this Agreement as the Manager determines. All expenses incurred in connection with any such employee, agent, assistant, advisor or sub-distributor shall be for the sole account of the Manager.

BMO may use or provide access to services or equipment of service providers, including BMO's affiliates, in order to facilitate all or any portion of the Services, including by way of example, a service bureau, help desk or website hosting, and BMO confirms the Client's authorization to disclose to such service provider, subject to appropriate confidentiality arrangements, any client information necessary to provide the Services.
