Duties of the Investment Advisor. 4.1 Subject to the Manager’s oversight and review, to Clause 3 and to the Articles and the Private Placement Memorandum, the Investment Advisor shall have the authority in relation to the execution of investment decisions made by the Manager and the management and investment of the Portfolio as the delegate of the Manager (and without prior reference to the Company, or the Manager), to buy, sell (including without limitation short sales), retain, convert, execute, exchange or otherwise deal in Investments, borrow securities, incur indebtedness, make deposits, subscribe to issues and offers for sale of, and accept placings, underwritings and sub-underwritings, of any Investments, effect transactions whether or not on any recognised market or exchange and whether or not frequently traded on any such market or exchange (including, without limitation, derivatives, transactions, repurchase and reverse repurchase transactions, and securities lending transactions), negotiate, settle and sign on behalf of the Company account opening and any other documentation required to be so negotiated, settled or signed in connection with the execution of transactions in relation to the Portfolio by the Investment Advisor and otherwise act as the Investment Advisor judges appropriate in relation to the management and investment of the Portfolio. The Investment Advisor shall have discretion to negotiate, settle and arrange for signing on behalf of the Company account opening documentation, provided that copies of such documentation are provided to the Company prior to signing.

Duties of the Investment Advisor. The Investment Advisor shall act as Investment Advisor for the Fund. The Investment Advisor shall have sole and exclusive authority and responsibility for directing the investment and reinvestment of the Fund's Net Assets pursuant to and in accordance with the Investment Advisor's best judgment and methodologies, and as refined and modified from time to time in the future by the Investment Advisor, for the period and on the terms and conditions set forth herein. The investment services provided by the Investment Advisor will include, but not be limited to: evaluating potential investments; analyzing and evaluating the capabilities of the management and business plans of potential portfolio companies; negotiating terms, conditions, and price levels of each investment; making sales and placing orders with brokers and dealers to execute portfolio transactions on behalf of the Fund. In assessing the risks and potential returns on investment opportunities, the Investment Advisor may seek advice and assistance from other investment groups and draw upon the expertise and experience of business associates, brokerage firms' research departments, independent research authorities, clients and investors.
Duties of the Investment Advisor. The duties of the Investment Advisor shall be those set forth in the Investment Advisory Agreement to be entered into between the Trustees, on behalf of the Trust, and the Investment Advisor. Such duties may be modified by the Trustees, from time to time, by the amendment of the Investment Advisory Agreement. The Trustees may authorize the Investment Advisor to effect purchases, sales or exchange of Trust Property or may authorize any officer, employee, agent or Trustee to effect such purchases, sales or exchanges pursuant to recommendations of the Investment Advisor, all without further action by the Trustees subject to the Trustee's right of disapproval. Purchases, sales and exchanges of Trust Property shall be deemed to be authorized by all the Trustees in accordance with the provisions of this Agreement unless the Investment Advisor is notified in writing by the Trustees to the contrary. The Investment Advisory Agreement may authorize the Investment Advisor to employ other persons to assist it in the performance of its duties. The Investment Advisor shall be prohibited from accepting direct or indirect monetary or in-kind compensation from any person other than the Trust in connection with the services provided under the Investment Advisory Agreement, unless such compensation is immediately paid or transferred to the Trust.

The Investment Advisor shall also furnish to or place at the disposal of the Fund such of the information, evaluations, research, analyses and opinions formulated or obtained by the Investment Advisor in the discharge of its duties to the Fund. The Investment Advisor shall also manage and oversee the activities and operations of the Fund’s service providers.
Duties of the Investment Advisor. 3.1 Subject to the authority and responsibility of the Manager with respect to the management and administration of the Fund, the Investment Advisor shall, during the term of this Agreement, serve as investment advisor to the Fund and provide investment advice, research and portfolio management services to the Fund in a manner consistent with the Investment Objectives and subject to the Investment Restrictions.   • Duties as Investment Adviser (a) Subject to the supervision and direction of the Trust’s Board of Trustees (“Board”), Invesco PowerShares Capital Management will provide a continuous investment program for each Fund, including investment research and management with respect to all securities and investments and cash equivalents in the Fund. Invesco PowerShares Capital Management will determine, from time to time, what securities and other investments will be purchased, retained or sold by the Fund. Invesco PowerShares Capital Management shall initially determine and make such modifications to the identity and number of shares of the securities to be accepted pursuant to such Fund’s benchmark index in exchange for creation units for each Fund and the securities that will be applicable that day to redemption requests received for such Fund as may be necessary as a result of rebalancing adjustments and corporate action events (and may give directions to the Trust’s custodian with respect to such designations).

  • Duties of Investment Manager In carrying out its obligation under paragraph 1 hereof, the Investment Manager shall:

The Trading Manager agrees not to override any such instructions for the reasons specified in clauses (ii) or (iii) of the preceding sentence unless the Trading Advisor fails to comply with a request of the Trading Manager to make the necessary amount of funds available to the Trading Company within two trading days of such request. The Trading Advisor shall not be liable for the consequences of any decision by the Trading Manager to override instructions of the Trading Advisor, except to the extent that such consequences result from a material breach of this Agreement by the Trading Advisor or the Trading Advisor fails to comply with the Trading Manager’s decision to override an instruction.

  • DUTIES OF THE ADVISOR The Advisor will use its reasonable best efforts to present to the Company and the Operating Partnership potential investment opportunities and to provide a continuing and suitable investment program consistent with the investment objectives and policies of the Company as determined and adopted from time to time by the Board. In performance of this undertaking, subject to the supervision of the Board and consistent with the provisions of the Articles of Incorporation, By-laws and the Operating Partnership Agreement, the Advisor, directly or indirectly, will:
