Other Service Providers. The Trustees may in their discretion from time to time authorize the Trust to enter into one or more agreements whereby the other party or parties to any such agreements will undertake to provide to the Trust or any Class or Series or Shareholders or beneficial owners of Shares such services as the Trustees consider desirable and all upon such terms and conditions as the Trustees in their discretion may determine.
Other Service Providers. Any Service Provider may, from time to time, appoint an Affiliate of Brookfield to act as a new Service Provider under this Agreement, effective upon the execution of a joinder agreement by the new Service Provider in the form set forth on Schedule B hereto.
Other Service Providers. District reserves the right to enter into other agreements for services additional or related to the subject matter of this Agreement, and Provider agrees to cooperate fully with these other Providers and with the District. When requested by District, Provider shall coordinate its performance under this Agreement with such additional or related service providers. Provider shall not interfere with the work performance of any other service provider or District employee.
Other Service Providers. Vigilant acknowledges that the Fund may engage various entities as Service Providers, and the services required to be performed pursuant to the Fund’s contract therewith shall continue to be performed by such Service Providers as determined by the Fund. The Fund may also make changes related to the Service Providers, but such changes will not be deemed to impose additional duties upon the CCO.
Other Service Providers. In the event the Firm refers you to another service provider, neither the Firm nor Xxxxxxx Xxxxx will receive any compensation, directly or indirectly, for making such a referral. In the event that you decide to engage another service provider, the Firm will not be responsible for monitoring or reviewing the work done or services provided by that provider.
Other Service Providers. Manager may retain for, and on behalf of, the Company, and at the sole cost and expense of the Company, at market rates and costs, such services of accountants, legal counsel, appraisers, insurers and brokers, among others, including Manager’s affiliates, as Manager deems necessary or advisable in connection with the management and operations of the Company and the provision of its duties under this Agreement; provided, that any such agreement entered into with an affiliate of Manager to perform any such services shall be engaged on terms no more favorable to such affiliate than would be obtained from a third party on an arm’s-length basis and if the costs and expenses of such third party contracts exceed $10,000 in any calendar year they will be subject to the Company’s approval. Notwithstanding the foregoing, all new third party contracts shall be terminable upon thirty (30) days’ notice without penalty.
Other Service Providers. We may make products and services provided by others ("Third-Party Services") available through Online Banking. Third-Party Services may be governed by separate agreements that you have with the applicable provider (“Third-Party Service Agreements”). Examples of these Third-Party Services include certain Online Wallets provided by third parties that store your debit or credit card numbers for future use in payment transactions that access your Accounts. By using any Third-Party Services, you agree that we make no warranties and have no liabilities as to the accuracy, completeness, availability or timeliness of the Third-Party Services, to the fullest extent allowed by law.
Other Service Providers. 1. Our Agreement. Your use of Online Banking, and the specific Services available through Online Banking, are governed by this Agreement, the application you complete (if required) for any Service that is available through Online Banking, and any instructions that we provide to you for using Online Banking. Your Accounts and the products or services that you receive from us and that are accessed through Online Banking are governed by other agreements, such as our Deposit Account Agreement, the signature card(s) you signed, your Organization Resolution and Agreement or other authority document on file with us (if you are a Business client), any applicable overdraft protection agreement, any applicable loan agreement, any credit card agreement, and any other applicable account agreements, all as they may be amended from time to time. Some services available through Online Banking, such as our Remote Deposit Capture service, require you to acknowledge separate terms and conditions that amend this Agreement if you choose to use those Services. When you accept any of those terms and conditions, those terms become part of this Agreement. When you click “I Agree” at the end of this Agreement, or when you use Online Banking or any Online Banking Service, you acknowledge that you have received this Agreement and agree to be bound by all of its terms, conditions and provisions. In the event of any conflict between this Agreement and any other terms and conditions that apply as between you and the Bank with respect to the electronic delivery of Services or access through electronic means, this Agreement controls. However, if the other terms and conditions expressly state that those terms control in the event of a conflict with this Online Banking Agreement, then those terms and conditions control, but only to the extent set forth in the other terms and conditions. Our Deposit Account Agreement, your loan agreement, or our other agreements applicable to the particular products and services you receive from us will control with respect to the terms and conditions of those other products and services and the fees and charges that apply to them. Please read this Agreement carefully before using Online Banking.
Other Service Providers. The Director shall secure input regarding the proposed development from all other affected agencies and service providers, including but not necessarily limited to the Army Corps of Engineers, County Health Department, Utah Power, and the Park City/Summit County Arts Council.
Other Service Providers. I understand that St. Xxxxxxxx University in no way represents, or acts as agent for, any host institution or program sponsor or for transportation carriers, hotels, and other suppliers of services that may be connected with this off-campus program. I understand and agree that St. Xxxxxxxx University is not responsible or liable for any injury, damage, loss, accident, delay or other irregularity which may be caused by the defect of any vehicle or the negligence or default of the host institution, or any company or person engaged in providing or performing any of the services involved in this off-campus program. I understand and agree that St. Xxxxxxxx University is not responsible or liable for any disruption of travel arrangements, or any consequent loss or additional expenses that may be incurred therefrom. I also understand and agree that St. Xxxxxxxx University assumes no responsibility or liability for any loss, damage, destruction, theft or the like to my luggage or personal belongings, and that I have retained adequate insurance or have sufficient funds to replace such belongings. I understand that all services and accommodations related to this off-campus program are subject to the laws of the country in which they are provided.
