Duties of the Chief Executive Officer. Subject to the supervisory powers of the Manager, the Chief Executive Officer, if there is one, shall be the chief executive officer of the Company, and the Chief Executive Officer shall supervise, coordinate and manage the business and activities of the Company. The Chief Executive Officer shall perform such other duties and have such other powers as the Manager shall designate from time to time and shall see that all orders and resolutions of the Manager are carried into effect. Subject to the foregoing, the Chief Executive Officer shall have general authority general powers and duties of management usually vested in the office of chief executive officer of a corporation. In the absence of a separate appointment of the Chief Executive Officer, the President shall have the powers and authorities of the Chief Executive Officer.

The Chief Executive Officer shall have direct charge of the business of the Corporation, subject to the general control of the Board of Directors, and shall have general authority to sign all certificates, contracts, obligations and other instruments of the Corporation.

Under the general supervision of the Board, the Chief Executive Officer of the Corporation shall, in the absence of the Chairman, preside at all meetings of shareholders and, except to the extent otherwise provided in these Bylaws or by the Board, shall have general authority to execute any and all documents in the name of the Corporation and general and active supervision and control of all of the business and affairs of the Corporation. In the absence of the Chief Executive Officer, his or her duties shall be performed and his or her powers may be exercised by such other officer as shall be designated either by the Chief Executive Officer in writing or (failing such designation) by the Board of Directors.

He shall have responsibility for the general management and direction of the business and operation of the Company and its several divisions, subject only to the ultimate authority of the Board of Managers. Unless otherwise directed by a majority vote of the Board of Managers, the Chief Executive Officer shall preside over all Company meetings. Except as prohibited by the Board, he may sign and execute in the name of the Company deeds, mortgages, bonds, contracts or other instruments. In addition, he shall perform all duties incident to the office of the Chief Executive Officer and such other duties as from time to time may be assigned to him by the Board of Managers. Without limiting the generality of the foregoing, and except as otherwise specifically provided in this Agreement, the Chief Executive Officer shall have the full power and authority in the name and on behalf of the Company:

The CEO shall have power to sign all contracts and other instruments of the Corporation which are authorized and shall have general supervision and direction of all of the other officers, employees and agents of the Corporation. The CEO shall perform other duties commonly incident to his or her office and shall also perform such other duties and have such other powers as the Board of Directors shall designate from time to time.
