CONTRACT INCLUDES ENTIRE AGREEMENT. It is understood and agreed by and between the parties, hereto, that this Agreement is the only existing Agreement between the parties with respect to any and all wages, and terms and conditions of employment for members of the bargaining unit. UNM and the Association may, upon mutual agreement, negotiate an MOU in writing which may change policy and provisions of this contract or other matters which may become issues of mutual concern from time to time.

CONTRACT INCLUDES ENTIRE AGREEMENT. The parties agree that they have had the opportunity to negotiate on all issues introduced for negotiations and it is understood and agreed by and between the parties, hereto, that this Agreement is the complete and only agreement between the parties and supersedes any and all previous agreements. The City and the Association may upon mutual agreement and negotiations agree to a Memorandum of Understanding (MOU) which may change provisions of this contract. A master copy of the Agreement will be provided to each party and each party is responsible for making and distributing copies to their constituents.

CONTRACT INCLUDES ENTIRE AGREEMENT. This Agreement is the only existing Agreement between the parities and replaces any and all previous Agreements. The Employer and the Association may, upon mutual Agreement and negotiation, place in effect a Memorandum of Understanding which may change provisions of this Agreement, or address matters which may become issues of mutual concern from time to time. The Employer is responsible for the initial reproduction of fully executed copies. The Association will be provided with such reproductions, and each party is responsible for distribution to its constituents. It is the responsibility of the Employees and supervisor to become familiar with this Agreement. The parties acknowledge that during the negotiations which resulted in this Agreement, each had the unlimited right and opportunity to make demands and proposals with respect to all proper subjects of collective bargaining, and that all such subjects have been discussed and negotiated upon and the Agreements contained in this Agreement were arrived at after free exercise of such rights and opportunities; therefore, the Employer and the Association, for the life of this Agreement, each voluntarily and without qualification waives the right and each agrees that the other shall not be obligated to bargain collectively with respect to any subject matter not specifically referred to or covered in this Agreement even though such subject matter may not have been within the knowledge or contemplation of either or both of the parties at the time they negotiated or signed this Agreement. CONTRACT INCLUDES ENTIRE AGREEMENT. The CONTRACT embodies the entire agreement between NATIONAL and CONTRACTOR. CONTRACTOR represents that in entering into the CONTRACT it does not rely on any previous or contemporaneous written, oral, implied, or other representation, inducement or understanding of any kind whatsoever. The CONTRACT may not be amended except by a writing signed by both parties, or a written change order or Extra Work Authorization signed by NATIONAL. Except to the extent expressly provided herein, none of CONTRACTOR's proposals, bid documents, correspondence or other written materials provided to NATIONAL by CONTRACTOR shall constitute any part of the parties' agreement hereunder.   • Integration/Entire Agreement This Agreement, together with the Warrants, is intended by the parties as a final expression of their agreement and intended to be a complete and exclusive statement of the agreement and understanding of the Company, the Warrant Agent and the Holders in respect of the subject matter contained herein. There are no restrictions, promises, warranties or undertakings, other than those set forth or referred to herein, with respect to the Warrants. This Agreement and the Warrants supersede all prior agreements and understandings between the parties with respect to such subject matter.

IN THE EVENT OF A CONFLICT BETWEEN THE TERMS AND PROVISIONS OF THIS AGREEMENT AND THE TERMS AND PROVISIONS OF ANY EXHIBIT HERETO; THE TERMS AND PROVISIONS OF THIS AGREEMENT SHALL GOVERN AND CONTROL; PROVIDED, HOWEVER, THAT THE INCLUSION IN ANY OF THE EXHIBITS HERETO OF TERMS AND PROVISIONS NOT ADDRESSED IN THIS AGREEMENT SHALL NOT BE DEEMED A CONFLICT, AND ALL SUCH ADDITIONAL PROVISIONS SHALL BE GIVEN FULL FORCE AND EFFECT.
