Compensation of BISYS. (A) Sub-Administration Fee. Commencing on the Conversion Date, for the services rendered, the facilities and the expenses assumed by BISYS pursuant to this Agreement, the Administrator shall pay to BISYS compensation at an annual rate specified in Schedule A attached hereto. Such compensation shall be calculated and accrued daily, and paid to BISYS monthly. If the Conversion Date occurs subsequent to the first day of a month or termination of this Agreement occurs before the last day of a month, BISYS' compensation for that part of the month in which this Agreement is in effect shall be prorated in a manner consistent with the calculation of the fees as set forth above. Payment of BISYS' compensation for the preceding month shall be made promptly.
Compensation of BISYS. (a) VCM shall pay BISYS the fees set forth in Schedule C to this Agreement for the services described in Schedules A and B. For purposes of determining fees, the value of each Fund’s net assets shall be computed in accordance with the terms of the Fund’s Prospectus.
Compensation of BISYS. (A) Sub-Administration Fee. Fifth Third shall pay BISYS for the services to be provided by BISYS under this Agreement in accordance with, and in the manner set forth in, Schedule C hereto . Fifth Third shall also reimburse BISYS for reasonable travel and lodging expenses incurred by officers and employees of BISYS in connection with attendance at Board meetings and other meetings at which attendance is required or requested.
Compensation of BISYS. (A) In consideration of the services rendered, the facilities furnished and the expenses assumed by BISYS pursuant to this Agreement, the Administrator shall pay BISYS compensation as specified in Schedule B attached hereto. Such compensation shall be paid to BISYS on the first business day of each month beginning December 1, 2000. If this Agreement terminates before the last day of a month, BISYS's compensation for that part of the month in which this Agreement is in effect shall be prorated according to the proportion which such period bears to the full monthly period and shall be payable upon the date of termination of this Agreement. For the purpose of determining fees payable to BISYS, the value of net assets of a particular Fund shall be computed in the manner described in the Trust's Declaration of Trust or in the Prospectus or Statement of Additional Information for the computation of the Trust's net assets in connection with the determination of the net asset value of the Trust's shares.
Compensation of BISYS. (a) The Trust shall pay BISYS for its respective services to be provided under this Agreement the fees set forth in the fee schedule set forth in Schedule B. For purposes of determining fees, the value of each Fund's net assets shall be computed in accordance with the terms of the Fund's Prospectus. Such fee as is attributable to each Fund shall be a separate (and not joint or joint and several) obligation of each such Fund. No individual Fund shall have any responsibility for any obligation, if any, with respect to any other Fund arising out of this Agreement.
Compensation of BISYS. (a) For the services to be rendered, the facilities furnished and the expenses assumed by BISYS pursuant to this Agreement, the Company shall pay monthly to BISYS compensation at an annual rate of 0.06% (6 basis points) of the average daily net assets of the Funds. In addition to the foregoing, the Company shall also reimburse BISYS for all of its reasonable out-of-pocket expenses, including, but not limited to, travel and lodging expenses incurred by officers and employees of BISYS in connection with attendance at (i) Board meetings and (ii) any other meetings for which such attendance is requested or agreed upon by the parties. If this Agreement becomes effective subsequent to the first day of a month or terminates in accordance with its terms before the last day of a month, BISYS's compensation for that part of the month in which this Agreement is in effect shall be prorated in a manner consistent with the calculation of the fees as set forth above. Payment of BISYS's compensation for the preceding month shall be made promptly.
Compensation of BISYS. (a) In consideration of BISYS' performance of the Services, Company will pay BISYS the fees set forth in the Omnibus Fee Agreement by and between the Company and BISYS dated as of the date hereof (the "Fee Agreement"). In addition to such fees, Company will reimburse BISYS for all of its reasonable out-of-pocket expenses incurred in providing the Services, including, but not limited to, production of board books and materials, and travel and lodging expenses incurred by officers and employees of BISYS in connection with attendance at (i) meetings of the Company's board of trustees (the "Board"), and (ii) any other meetings for which such attendance is requested or agreed upon by the parties.
Compensation of BISYS. (a) In consideration of BISYS' performance of the Services, the Trust will pay BISYS the fees set forth on Schedule B to this Agreement. In addition to such fees and except as otherwise provided in this Agreement, the Trust will reimburse BISYS for all of its reasonable out-of-pocket expenses (for which no xxxx-up for BISYS overhead shall be included) incurred in providing the Services, including, but not limited to, travel and lodging expenses incurred by officers and employees of BISYS in connection with attendance at (i) Board meetings and (ii) any other meetings for which such attendance is requested or agreed upon by the parties.
Compensation of BISYS. (a) For the services to be rendered, the facilities furnished and the expenses assumed by BISYS pursuant to this Agreement, the Funds shall pay monthly to BISYS compensation at an annual rate of 0.105% (10.5 basis points) with respect to the Leader Funds and 0.06% (6 basis points) with respect to the Regions Morgan Keegan Select Funds, xx xxxx xxxx of the average daily net assets of the applicable Fund. In addition to the foregoing, the Trust or Corporation shall also reimburse BISYS for all of its reasonable out-of-pocket expenses, including, but not limited to, travel and lodging expenses incurred by officers and employees of BISYS in connection with attendance at (i) Board meetings and (ii) any other meetings for which such attendance is requested or agreed upon by the parties. If this Agreement becomes effective subsequent to the first day of a month or terminates in accordance with its terms before the last day of a month, BISYS's compensation for that part of the month in which this Agreement is in effect shall be prorated in a manner consistent with the calculation of the fees as set forth above. Payment of BISYS's compensation for the preceding month shall be made promptly.
