The Lender understands that the offer and sale of the Fee Shares and Fee Warrants have not been registered under the Securities Act or any state securities laws by reason of specific exemptions under the provisions thereof that depend in part upon the representations made by the Lender in this Fee Agreement.
Delivery of an executed signature page of this Fee Agreement (whether executed manually or by way of a digital signature as described herein) by facsimile or other transmission (e.g., “pdf” or “tif” format) shall be effective as delivery of a manually executed counterpart hereof.
