City’s Contribution. City’s contribution to the Zone is its agreement to encourage commercial and industrial development necessary or appropriate to promote economic development within the Zone; provide appropriate municipal services and public improvements to promote economic development; and perform all other covenants of City stated in this Agreement.
City’s Contribution. The Project will benefit disadvantaged communities (DACs) / economically disadvantaged areas (EDAs). The City has been identified through the funding program as qualifying for a significantly reduced match by the SWRCB (i.e., 20%). The remaining portion of the Project costs will be reimbursed (as a grant) by the SWRCB (i.e., 80%). The City by signing this Agreement agrees to pay its portion of the match, which is currently estimated to be approximately Forty-Three Thousand Dollars and 00/100 Cents ($43,000.00) or 20% of the identified costs (“Match Amount”) using existing estimates. The final Match Amount will be determined based on the final Project costs. Upon completion of the Project, WRD will submit an invoice for payment for the match portion from the City. The City agrees to pay WRD the final Match Amount within 60 days. The City also agrees that if the City fails to remit payment as agreed, the City shall be liable for any and all costs and fees incurred by WRD for collecting such payment in addition to the payment of the original amount.
City’s Contribution. Within ninety (90) days of the effective date of this Agreement, City will enter into and revise as necessary an agreement with Ameris for the purchase of the Belen Site at a mutually agreeable price pursuant to the provisions of City’s Economic Development Plan Ordinance, Belen Municipal Code, Sections 15.44.010 et seq.
City’s Contribution. The City Contribution for Project Costs is $45 million. The City may fund its City Contribution using a combination of sources, including, but not limited to bond proceeds and capital outlay funding. The City Contribution will be used to cover costs associated with the parking garage and other Project elements. If bonds are issued, the City shall use those proceeds to pay for Project Costs as permitted by applicable laws and regulations governing bond financing, including costs which are eligible for reimbursement under Federal Treasury Regulation 1.150-2. Nothing in this Agreement shall obligate the City to make any payment for the construction of the parking structure or other Project improvements from any particular money source; the source of Project funds shall be solely left to the City’s discretion.
City’s Contribution. The City agrees to pay one-half (1/2) of the actual total project construction costs upon completion of the project and receipt of the contractor’s invoice itemizing the actual total project construction costs, excluding engineering fees, and bid advertising and bid process fees. The project construction costs are based on the cost estimate of $160,215.00 (Exhibit “B”). However, it is understood and agreed that the actual total project construction costs may be less than or may exceed the cost estimate in Exhibit “B” and will consist of the amount of the lowest responsive and responsible bid price, as determined by the City, plus approved field change orders for the water main relocation. Should the actual total project construction costs exceed the cost estimate in Exhibit “B” ” by more than twenty-five percent (25%), such increase must be presented to City Council for its approval, in its sole and exclusive discretion. Upon completion of the water main relocation project and acceptance of the new water main for operation and maintenance by the City, the City shall release and RE: Water Main Relocation Agr – Harley Investments, LLC – Page 3 of 6 abandon all right, title and interest it has over that portion of the existing water main (and any possible easement associated therewith) located on the Property relating to the existing 24” water main to be abandoned.
City’s Contribution. The City shall contribute utilities relocation, parking facilities, paving, street and curb work, groundwork and landscaping, and the labor of City employees. The City shall be permitted to make additional contributions, monetary or in-kind upon agreement of both parties.

Nothing in this Agreement shall constitute a waiver of any party’s rights, claims or defenses with respect to the PERS Litigation.
