Choice of Law and Forum Selection. This contract shall be governed by and construed, interpreted and enforced in accordance with the laws of the State of Wisconsin. The parties agree, for any claim or suit or other dispute relating to this contract that cannot be mutually resolved, the venue shall be a court of competent jurisdiction within the State of Wisconsin and the parties agree to submit themselves to the jurisdiction of said court, to the exclusion of any other judicial district that may have jurisdiction over such a dispute according to any law.
Choice of Law and Forum Selection. The Agreement shall be governed and interpreted pursuant to the laws of the State of Wisconsin. The forum for any and all disputes, controversies, and/or claims arising out of or relating to the Agreement, or the breach thereof, shall be the Circuit Court of Dane County, Wisconsin, or the United States District Court for the Western District of Wisconsin. Employee agrees that Employee is subject to the jurisdiction of these courts.
Choice of Law and Forum Selection. This Agreement shall be governed by the laws of the Commonwealth of Virginia as to its validity, interpretation and enforcement. Should it be necessary for the Company to file suit, exclusive jurisdiction will lie in the courts of the Commonwealth of Virginia.

This Agreement, and all matters arising out of or relating to this Agreement, whether sounding in contract, tort, or statute, are governed by, and construed in accordance with, the laws of the State of North Carolina (including its statutes of limitations), without giving effect to the conflict of laws provisions thereof to the extent such principles or rules would require or permit the laws of any jurisdiction other than the State of North Carolina to apply. Any action or proceeding by either Party to enforce this Agreement shall be brought only in any state or federal court located in the state of North Carolina, county of Mecklenburg. The Parties hereby irrevocably submit to the exclusive jurisdiction of such courts and waive the defense of inconvenient forum to the maintenance of any such action or proceeding in such venue. 6.
Choice of Law and Forum Selection. This MOU, the Settlement Agreement and Settlement contemplated by it, and any dispute arising out of or relating in any way to this MOU, the Settlement Agreement or the Settlement, whether in contract, tort or otherwise, shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to conflict of laws principles. Each of the Parties (a) irrevocably submits to the personal jurisdiction of any state court sitting in Wilmington, Delaware, as well as to the jurisdiction of all courts to which an appeal may be taken from such courts, in any suit, action or proceeding arising out of or relating to this MOU, the Settlement and/or the Settlement Agreement, (b) agrees that all claims in respect of such suit, action or proceeding shall be brought, heard and determined exclusively in the Delaware Court of Chancery (provided that, in the event that subject matter jurisdiction is unavailable in that court, then all such claims shall be brought, heard and determined exclusively in any other state court sitting in Wilmington, Delaware), (c) agrees that it shall not attempt to deny or defeat such personal jurisdiction by motion or other request for leave from such court, (d) agrees not to bring any action or proceeding arising out of or relating to this MOU, the Settlement and/or the Settlement Agreement in any other court, and (e) expressly waives, and agrees not to plead or to make any claim that any such action or proceeding is subject (in whole or in part) to a jury trial. Each of the Parties waives any defense of inconvenient forum to the maintenance of any action or proceeding brought in accordance with this paragraph. Each of the Parties further agrees to waive any bond, surety or other security that might be required of any other party with respect to any action or proceeding, including an appeal thereof. Each of the Parties further consents and agrees that process in any suit, action or proceeding may be served on such Party by certified mail, return receipt requested, addressed to such Party or such Party’s registered agent in the state of its incorporation or organization, or in any other manner provided by law, and in the case of Plaintiffs by giving such written notice to Xxxxx X. Xxxxx, 00 Xxxxxxxxxx Xxxx, Xxxxx 000, Xxxxxxxxxx, XX 00000.
Choice of Law and Forum Selection. To the extent not preempted by HIPAA or the HIPAA Rules, the laws of the Commonwealth of Massachusetts shall govern this BA Agreement. The Parties agree that all actions or proceedings arising in connection with this BA Agreement shall be tried and litigated exclusively in the State and Federal courts located in Boston, Massachusetts.
Choice of Law and Forum Selection. The terms of this Agreement shall be governed by the laws of the State of Florida. Xxxxxxx, WellCare and the Company agree and submit to the exclusive jurisdiction of any state or federal court in Tampa, Florida where there is proper venue, in any action or proceeding arising out of or relating to this Agreement or the transactions contemplated herein, and agrees that all claims in respect of any such action or proceeding may be heard or determined in such Court except for all claims or proceedings in which a court of another jurisdiction is vested with exclusive jurisdiction by law.
Choice of Law and Forum Selection. The parties agree that this AGREEMENT shall be governed by the laws of the State of California. The parties consent to the jurisdiction of the courts of the State of California and the federal District Court of the Fresno Division of the Eastern District of California in the event an action is brought upon this AGREEMENT in those Courts. The parties agree that the courts in Fresno County are a convenient forum to litigate any disputes over this AGREEMENT and select these Courts as the forum for any such litigation.
Choice of Law and Forum Selection. This Agreement shall be governed by, construed and interpreted according to the substantive law (and not the law of conflicts) of the State of Illinois in the United States of America, the state in which this Agreement is deemed to have been executed and delivered. Said Illinois law shall govern this Agreement in all respects as to its validity, interpretation, construction and enforcement, and all aspects of the relationship between the parties hereto. Any disputes arising under or in connection with this Agreement shall be litigated, if at all, solely in a court of general jurisdiction located in Xxxx County, Illinois or the federal court located in Xxxx County, Illinois, and jurisdiction is hereby conferred upon such courts. In connection therewith, each party hereby agrees to submit to the jurisdiction of such courts and to waive any possible defense of forum non conveniens and/or lack of personal jurisdiction before such court. THE UNITED NATION'S CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS SHALL NOT GOVERN THIS CONTRACT.

All provisions of this Agreement shall be governed by and construed in accordance with the laws of the State of Georgia without reference to principles of conflict of laws. Any lawsuit, claim, or other legal proceeding arising out of or relating to this Agreement shall be brought exclusively in the federal or state courts located in or covering Xxxx County Georgia, and the Employee and the Company hereby submit to the personal jurisdiction and venue of the state and federal courts located in or covering Xxxx County Georgia. In the event Company is the prevailing party in any such proceeding, the Employee shall reimburse the Company for the costs (including reasonable attorney’s fees) incurred by the Company in such proceeding.
