Assignment of Rights and Duties. The Consultant may not assign his rights or duties under this Agreement without prior written consent of the Company, which consent may be withheld for any reason. Any attempted assignment, transfer, conveyance, or other disposition of the Consultant's interest in this Agreement shall be void.

Any assignment or appointment made under this section shall be in recordable form and shall be recorded in the County where the real property affected is situated.

Notwithstanding the foregoing, the Company may make such assignment to any affiliated company, but its assignment of this Agreement to an affiliate does not relieve it of its obligations under this Agreement if that affiliate fails to perform the Company's obligations under this Agreement.

If during the term of this Agreement, and any extensions thereof, the Contractor becomes aware of an actual or potential relationship which may be considered a conflict of interest, the Contractor shall immediately notify the State in writing and disclose the nature of the potential conflict of interest in the manner prescribed by the State. The State will have sole discretion in evaluating the nature of the identified conflict of interest and will make the final decision regarding its resolution. Continuity of the Agreement The terms and conditions of this Agreement shall remain in full force and effect for the term of this Agreement and the Contractor agrees to provide all Services for such term, regardless of any reorganizations, consolidations or mergers to which the Contractor is, or may become, a party.
Assignment of Rights and Duties. This Agreement and Executive's rights and obligations hereunder may not be assigned by Executive. The Company shall assign the Company's rights and duties hereunder to any person, firm, corporation or other business entity that succeeds to substantially all of the assets and operations of the Company. This Agreement shall not be terminated by any merger in which Company is not the surviving or resulting corporation, or on any transfer of all or substantially all of Company's assets. In the event of any such merger or transfer of assets, the provisions of this Agreement shall be binding on and inure to the benefit of the surviving business entity or the business entity to which such assets shall be transferred.

It is understood and agreed that the West Group Districts have signed as parties to this IGA with the expectation and intention that their rights, entitlements, and obligations hereunder, as well as the assets and specific programs listed above as being allocated to Colorado River BOCES, will be assigned to Colorado River BOCES as soon as Colorado River BOCES is formed in accordance with CRS 22-5-103, and Mountain BOCES hereby approves and authorizes such assignment in advance. Upon written notice to Mountain BOCES of the official creation of Colorado River BOCES and the assignment contemplated in this section 8, the West Group Districts will no longer have any individual liabilities or obligations hereunder, except to the same extent, if any, that the liabilities and obligations of Mountain BOCES may apply to the individual Districts of the East Group.
