Subject to clause 19.2, a party (the Assigning Party) may assign its rights or novate its rights and obligations under this Agreement after obtaining the prior written consent of the other party (the Other Party).
Upon such other Party’s request, the Assigning Party shall, at its own cost and expense, take all reasonable actions, including executing all assignments and other documents, necessary to perfect or record such other Party’s right, title, and interest in and to such Intellectual Property.
Any attempted assignment, delegation or transfer by an Assigning Party in violation hereof shall be null and void.
The Assigning Party remains liable for its obligations under this Agreement even if it assigns its rights pursuant to clause 19.1.
