Appointment of Sub-Distributors. MENTOR may assign, sublicense, delegate, or otherwise transfer the performance of the rights and obligations hereunder to qualified and reputable sub-distributors, provided, however, that: (I) MENTOR shall be liable to PERIMMUNE for the errors, negligent acts and omissions of its sub-distributor's as if such errors, negligent acts and omissions were its own, including any breach of any provision of this Agreement by the sub-distributors; (ii) MENTOR shall have and retain full control of any sub-distributors utilized, and shall be responsible for the performance by any sub-distributor, and (iii) MENTOR shall not be relieved of the responsibility for the proper performance and completion of the sub-distributed portions of its obligations hereunder.
Appointment of Sub-Distributors. Before appointing any Sub- Distributor, Distributor shall obtain Primus' written approval (not to be unreasonably withheld) to an accurate English translation of Distributor's proposed model Sub-Distribution Agreement (the "Model Agreement"). Subject to Distributor's obtaining such approval, the initial Sub-Distributors shall be the Persons listed in Schedule 4. Distributor may not appoint any other Sub- Distributors without obtaining Primus' prior written approval (not to be unreasonably withheld). Distributor's request for approval shall contain, at a minimum: (a) the name and a description of the proposed Sub-Distributor; and (b) an accurate English translation of the proposed Sub-Distribution Agreement, marked to show changes from the Model Agreement. Distributor shall ensure that: (i) Distributor may unilaterally terminate all Sub-Distributor appointments and associated license rights upon termination of the Distribution Term, in each case without any liability on the part of Primus; (ii) Sub-Distributors shall have no right to appoint sub-distributors; (iii) the relevant Sub-Distribution Agreement permits Distributor's assignment of the Sub-Distribution Agreement to Primus or its nominee; (iv) each Sub-Distributor complies with the obligations of Distributor under this Agreement, as though such obligations applied directly to the Sub-Distributor; and (v) Primus is a third-party beneficiary of Distributor's rights with respect to each of its Sub-Distributors.
Appointment of Sub-Distributors. The Parties agree that Distributor’s rights and obligations under this Agreement will, subject to terms and limitations contained in this Agreement, be discharged and administered directly by Distributor and may include the use of contractors, subcontractors, and agents, in a manner substantially similar to the method that Distributor currently utilizes to operate its existing businesses. Distributor shall remain responsible to THERMO for any and all acts and omissions of such sub-distributors and agents. Distributor may use distributors and sub-distributors to sell the Products as of the commencement of the Term consistent with its current practices; provided that such distributors shall be monitored and policed by Distributor in order to ensure that they do not violate any rights of THERMO or terms or conditions of this Agreement.

SIGMA may assign, sublicense, delegate, or otherwise transfer the performance of the rights and obligations hereunder to qualified and reputable sub-distributors, provided, however, that: (i) SIGMA shall be liable to IVAX DIAGNOSTICS for the errors, negligent acts and omissions of-its sub-distributor's as if such errors, negligent acts and omissions were its own, including any breach of any provision of this Agreement by the sub-distributors; (ii) SIGMA shall have and retain full control of any sub-distributors utilized, and shall be responsible for the performance by any sub-distributor; and (iii) SIGMA shall not be relieved of the responsibility for the proper performance and completion of the sub-distributed portions of its obligations hereunder.
Appointment of Sub-Distributors. Kou may appoint a sub-distributors of the Products with notify to Otsu's.
Appointment of Sub-Distributors. The Authorised Reseller may appoint Sub- Distributors to assist it in promoting, selling and distributing Tickets. Authorised Reseller may appoint only Sub-Distributors which are part of the same group of companies of the Authorised Reseller and which are listed in Exhibit C or have been approved in writing by Expo. Sales of Tickets in conformity with the provisions of this Agreement by any Sub-Distributor that has been approved by Expo shall not be considered to be re-sales of Tickets in violation of this Agreement.
Appointment of Sub-Distributors. The Parties agree that GMH’s rights and obligations under this Agreement will, subject to terms and limitations contained in this Agreement, be discharged and administered directly by GMH and may include the use of GMH Affiliate entities as sub-distributors. GMH shall provide THERMO with advanced written notice of any GMH Affiliate designated as a sub-distributor pursuant to the terms of this Agreement. GMH shall remain responsible to THERMO for any and all acts and omissions of such sub-distributors. All sub-distributors authorized under this section shall be monitored and policed by GMH in order to ensure that they do not violate any rights of THERMO or terms or conditions of this Agreement. GMH shall indemnify, defend and hold harmless THERMO from and against any loss, damages, or costs which arise out of or result from the use of such sub-distributors. GMH shall not appoint any other Persons to act as sub-distributors, and any attempt to assign to any other Person any and all of GMH’s rights hereunder, and any attempt to delegate to any such Person any and all of GMH’s obligations hereunder shall be null and void, will not bind THERMO, and will constitute an immediate default under this Agreement.
Appointment of Sub-Distributors. Par may, with the prior written consent of Alfacell in its sole discretion (such consent not to be withheld for any potential sub-distributor that is an Affiliate of Par), appoint sub-distributors (which may be Par’s Affiliates or non-Affiliates; each a “Sub-distributor”) to distribute Product for use in the Field in the Territory, subject to the following clauses (a-e) and the other terms and conditions of this Agreement:
