Request for Approval. If Supplier desires to subcontract any portion of its performance, obligations, or responsibilities under this Agreement, Supplier shall make a written request to Gap for written Approval to enter into the particular subcontract. Supplier’s request to Gap shall include:

Request for Approval. A bargaining unit member who wishes to have courses or activities approved for reimbursement will fill out the Upward Mobility Program forms and submit them via email, or in person, to the Upward Mobility Committee chairperson for committee review. An Upward Mobility Committee shall consist of:  The Vice President of Human Resources, and  One (1) other administrative employee appointed by the Superintendent/President, and  Two (2) classified employees appointed by the Association.  The four (4) committee members shall then appoint a District employee as a fifth committee member.  The Committee members shall serve two (2) alternating year terms, except for the Vice President of Human Resources. The Upward Mobility Committee shall review all requests and materials submitted by the applicant and take action on the requests within thirty (30) calendar days upon receipt of a completed request. The employee and the employee’s supervisor, shall be notified of the committee’s decision.

Request for Approval. If the approval of a Lender is required, the Administrative Agent shall advise the Lender in writing of the issue to be decided and, if the Administrative Agent determines in its sole discretion that it is appropriate to do so, request the Lender’s approval of a course of action proposed by the Administrative Agent. In requesting a Lender’s approval, the Administrative Agent may establish, in its discretion acting reasonably, a deadline by which the Lender shall respond to the Administrative Agent’s request. If the Lender fails to respond by that deadline, that Lender’s failure to respond shall be conclusive evidence of the disapproval by the Lender of the course of action proposed by the Administrative Agent. The Administrative Agent may, in its sole discretion and acting reasonably, extend the deadline set by the Administrative Agent by which the Lender shall respond to the Administrative Agent’s request.

Request for Approval. If Tenant desires at any time to enter into an Assignment or Sublease as described above, it shall first give written notice to Landlord of its desire to do so, which notice shall contain or include: (a) the name of the proposed successor, assignee, subtenant or occupant (hereafter referred to as the "transferee"); (b) the nature of the proposed transferee's business to be conducted in the Premises; (c) the terms, provisions and economic considerations of the proposed Assignment or Sublease; (d) the identity of proposed principals and lease guarantors (if any); (e) signed current financial statements of the proposed transferee and guarantors (if any), reviewed or prepared by a major local or national certified public accounting firm; and (f) the business plan of the proposed transferee or other written statements of purpose, proposed operating policies and the background and experience of the principals.
